You will be responsible for providing legal advice and guidance on various corporate matters. This is an excellent opportunity for a motivated individual with a strong background in corporate law to contribute to Ceribell's success. If you are a highly motivated individual and are looking for an opportunity to make a significant impact, we encourage you to apply.Responsibilities:Conduct legal research and analysis on various corporate issuesProvide legal advice and guidance on securities law, equity management, contracts, compliance, and other legal mattersHandle various corporate governance activities, those related to the company's insider trading policy and proceduresDraft and review legal documents, including contracts, agreements, and policiesRepresent the company in negotiations and other legal mattersCollaborate with internal stakeholders to ensure compliance with applicable laws and regulationsStay updated on changes in laws and regulations that may impact the company's operationsAssist in the development and implementation of corporate policies and proceduresExperience/Qualifications:JD degree from an accredited law schoolMembership in a state bar association (California preferred)Significant experience as a corporate attorney, including demonstrated expertise in advising publicly traded companies on SEC filings and other corporate disclosures, corporate governance, equity management and securities law compliance mattersStrong securities and corporate law background, including detailed knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934 and corporate governance principles for publicly traded companiesStrong knowledge of corporate law principles, regulations, and best practicesProficiency in conducting legal researchExcellent legal drafting and research skills with strong attention to detail and accuracyExcellent verbal, written, and interpersonal communication skills including the ability to effectively communicate complex legal concepts to non-legal stakeholdersExperience in negotiating and drafting financing and other contractsBiopharma, medical device or diagnostics industry experience preferredAbility to work effectively in a fast-paced start-up with a high degree of collaborationA candidate’s final salary offer will be based on their skills, education, work location and experience, and thus it may differ from the posted range. Compensation may also include bonuses consistent with Ceribell’s corporate compensation plan.
