POSITION SUMMARY
Provides a variety of direct legal support assistance services to SVP/General Counsel and Branch Administration. Counsels on matters to be presented to Senior Management and the Board of Directors.
ESSENTIAL FUNCTIONS
Examines, prepares and processes a variety of technical legal documents.
Drafts, reviews and negotiates contracts and other bank related agreements, including: leases, loan documentation, licensing, data processing and service provider agreements.
Assists in collaborative review and revision of internal policies and procedures.
Conducts legal research and advises bank management and employees on a broad range of legal subjects including real estate transactions, secured lending, trust and estate administration, fiduciary duties, privacy and data security, federal and state securities laws, marketing, bank regulatory compliance, corporate governance and zoning and land use issues.
Assists with corporate maintenance duties for all bank corporations, including regulatory filings and corporate minutes book maintenance.
Drafts and reviews of all federal securities law filings, including the annual proxy statement and SEC filings.
Responds to subpoenas and obtains information from bank files, law enforcement agencies, or other sources; submits completed legal documents to the SVP/General Counsel for review/approval, and, thereafter, to the court, if appropriate;
Prepares and maintains legal documents and files.
Assists Compliance Department with coordinating OCC, FRB regulatory exams or, as needed, with additional audit requests.
Supervises and assists in the preparation and response to all legal and regulatory summons and subpoenas.
Enters appearance as counsel for Westfield Bank in matters of Trustee Summons.
Oversees and administers the Medallion Stamp program.
Performs other related duties as assigned.

Juris Doctorate from an ABA accredited law school.
Prior banking/operational knowledge helpful.
Excellent written and oral communication skills.

Experience in drafting, reviewing and negotiating contracts.
Experience with drafting loan documentation.
Experience in drafting minutes.
Experience in drafting internally generated agreements/forms as needed by various departments.
Proficient in Microsoft Office software programs (i.e., Word, PowerPoint, Excel and Outlook).
Massachusetts bar admittance (in good standing).
