About the Role:

Gusto is seeking an exceptional transactional attorney with experience supporting product-lead enterprise sales organizations to own commercial contract drafting, review, and negotiation of Gusto’s most strategic enterprise partnerships. The right candidate has an excellent track record of building trusted relationships with the business and collaborating with sales, product, risk, and legal stakeholders to expertly negotiate and close complex deals. The successful Commercial Counsel will be highly self-motivated, embrace fast-paced change and growth without missing the details, lead with a builder mindset and “yes and” attitude, independently identify and execute on areas of opportunity for process maturity and scalability, seamlessly manage multiple high-visibility deals with competing urgencies, and exercise exceptional judgment in providing counsel, drafting, negotiating, and managing other business and legal needs.

About the Team:

The Commercial Counsel will join Gusto’s exceptional and growing Legal and Compliance team, reporting to the Head of Commercial, and playing an impactful role in maturing Gusto’s commercial legal function and enterprise product sales organization, including as a key partner for the

Gusto Embedded Payroll

team. Our Gusto Embedded Payroll solution has been adopted by a wide range of customers, from young fintechs fresh out of Y Combinator to established national banking and credit institutions, and the Commercial Counsel will be on the front lines to help Gusto Embedded partner with these customers and bring new product partnerships to their users. This role can be based in the San Francisco, Denver, or New York City metro areas.

Here’s what you’ll do day-to-day:

Draft, review, and negotiate enterprise level sales and key product partnership agreements in support of Gusto Embedded Payroll.

Develop trusted relationships as a thought partner to business teams and stakeholders across Gusto Embedded, Finance, Security, Risk, Operations, Partnerships, and Legal & Compliance.

Understand the key business considerations that drive legal and compliance guidance, and consistently make commercial legal decisions that mitigate risk and support achievement of those objectives.

Support and coach sales and partnerships teams on deal structure and contract negotiations.

Build scalable and effective processes for deal review and negotiations, including through the creation and maintenance of playbooks and other internal resources, contract templates, and trainings.

Identify and evaluate both business and legal risks, and find creative solutions to mitigate them while achieving business goals.

Here’s what we're looking for:

JD degree and a member of a State Bar/active license to practice law.

5-7 years of transactional experience in a technology transactions department at a law firm or an in-house legal department with a high-growth technology company.

Experience drafting and negotiating complex enterprise SaaS agreements.

Experience providing counsel as a strategic partner to senior business leaders.

Experience supporting and empowering account executives throughout the commercial negotiation process.

Excellent communicator, strong negotiator and detail oriented drafting skills.

Highly responsive, accountable, growth mindset and service-oriented attitude in a fast-paced environment.

Ability to effectively prioritize and advance several deals simultaneously, often on tight deadlines and with leadership visibility.

A team player mindset (no job is too big or too small).

A collaborative approach and demonstrated ability to work well under pressure, cross-functionally, and independently.

Bonuses:

Familiarity working within the highly regulated payments or financial services industries.

History of supporting highly regulated industries, such as financial services, payroll/tax SaaS, health care, etc.

Our cash compensation amount for this role is between $161,000 - $199,000/year in Denver, and between $190,000 - $236,000/year for New York and San Francisco. Final offer amounts are determined by multiple factors including candidate location, experience and expertise and may vary from the amounts listed above.
