A law firm in Boston, MA, is seeking a highly experienced FinTech and Blockchain Counsel with at least 8 years of practice. The ideal candidate will possess extensive expertise in US federal securities laws, SEC interactions, and a strong background in blockchain and FinTech. The role involves providing legal counsel to blockchain technology companies, financial institutions, and digital asset exchanges on various securities law issues, private placement agent requirements, custody rule requirements, cross-border regulatory matters, and responding to FINRA and SEC regulatory inquiries. The candidate will also play a key role in structuring deals related to technology companies, digital asset exchanges, and blockchain token offerings. This position will include negotiating US and cross-border technology agreements for financial services firms and vendors, with a focus on compliance with US securities laws and broker-dealer regulatory requirements.Duties:Provide legal guidance on US federal securities laws and SEC interactions.Work closely with blockchain technology companies, financial institutions, and digital asset exchanges on securities law issues.Address private placement agent requirements, custody rule requirements, cross-border regulatory issues, and respond to FINRA and SEC regulatory inquiries.Lead the structuring of deals involving technology companies, digital asset exchanges, and blockchain token offerings.Offer regular assistance to financial services firms and their vendors in negotiating US and cross-border technology agreements, ensuring compliance with US securities laws and broker-dealer regulatory requirements.Requirements:A minimum of 8 years of legal practice experience.Extensive knowledge of US federal securities laws and a history of interacting with the SEC.Strong expertise in blockchain and FinTech.Admission to or eligibility for immediate admission to practice law in Massachusetts.Education:Juris Doctor (JD) degree from an accredited law school.Certifications:Admission to the Massachusetts Bar or eligibility for immediate admission.Skills:In-depth understanding of US federal securities laws and their application to blockchain and FinTech.Strong analytical and problem-solving abilities.Excellent written and verbal communication skills.Ability to structure complex deals involving technology companies, digital asset exchanges, and blockchain token offerings.Proficiency in navigating cross-border regulatory issues.Knowledge of FINRA and SEC regulatory requirements.Negotiation and contract drafting skills for technology agreements.Strong attention to detail and the ability to ensure compliance with US securities laws and broker-dealer regulations.
