The Corporate Counsel addresses a broad array of legal matters to support the company’s business, working closely with other members of the Legal team, as well as internal business clients. The role involves advising, training, and offering legal support to business clients, as well as drafting, reviewing, and negotiating various contracts.Your Contributions (include, but are not limited to):

Provide clear and business-savvy legal advice and risk guidance to business partners and key stakeholdersCounsel on a wide range of corporate issues including interactions with business clients on cross-functional projectsDraft, negotiate, and advise clients on a broad range of legal and contractual matters to support the Company’s business, including but not limited to: clinical trial agreements, informed consent documents, research agreements, clinical supply agreements, consulting agreements, nondisclosure agreements, and distribution agreementsReview contracts and other legal documents, advising on appropriate legal actionsDevelop and manage legal templates and proceduresEngage in activities such as licensing, collaborations, agency and third-party vendor contracting, and other routine business arrangementsMaintain strong relationships with business clients and third-party contracting parties to understand business requirements and ensure contractual terms align with the company’s priorities and policiesProvide legal support in the development of innovative services or products that differentiate the companyMentor and supervise lower-level legal staff and/or lead indirect teamsOther duties as assignedRequirements:

Juris Doctorate (JD) degree and 7+ years of practice as an attorney in a well-regarded law firm and experience with a life sciences company or a reputable, highly rated law firm with a focus on representing life science companies, or a combination of bothAn active license to practice law in any stateIndependently identify, analyze, and render legal advice on complex issuesDraft and negotiate agreements with clarity and precisionDeliver concise and accurate legal advice, anticipating follow-up questionsBuild consensus with diverse stakeholders and third parties, forming strong collaborative relationshipsExhibit proficiency and/or expertise in general corporate matters, healthcare and regulatory compliance, drafting transactional documents and agreements, employment law, data privacy, risk management, and contract managementPossess strong corporate compliance and transactional experience, including contract drafting skillsAnticipate business and industry issues and recommend process/technical/service improvementsDemonstrate broad expertise and apply in-depth knowledge to improve team efficiencyLead multiple teams and projects, demonstrating strong leadership and mentoring skillsExhibit excellent computer, communication, problem-solving, and analytical thinking skillsSee the broader picture and long-term impact on the division/companyMeet multiple deadlines with high accuracy and efficiencyApply creativity to problem analysis and resolution in complex situationsInfluence internal/external business and industry issues impacting the companyUnderstand strategic direction and incorporate it into tactical plansDevelop broad and comprehensive expertise in leading-edge theories and techniques within a strategic job functionTravel up to 25%Demonstrate integrity, honesty, and trustworthiness in all dealings
