Clearwater also works with hundreds of custodians, investment managers, dealers/brokers, and electronic trading portals who offer Clearwater to their many clients.Clearwater is seeking an experienced commercial transactions and corporate attorney to support all aspects of Clearwater’s operations.Specifically, the successful candidate will:Assist the Chief Legal Officer and General Counsel in offering comprehensive legal advice and guidance to the company

Draft, review, and negotiate, and interpret a wide range of contracts with customers, vendors, and other third parties, including SaaS agreements, order forms/SOWs, data processing addenda, strategic partnerships, and agreements with consultants, suppliers, and other service providers.

Work closely with Sales to manage requests and inquiries from customers and prospects, including RFPs/RFIs, supplier questionnaires, and requests for order forms, amendments, terminations, and non-renewals.

Draft and negotiate inbound vendor and services agreement, license agreements, NDAs, strategic partnership agreements and M&A agreements;

Provide advice and counsel to business team leaders on a wide variety of legal matters (marketing, commercial, technology, financing, real estate) in consultation with other members of the legal team and/or outside counsel, as necessary

Provide guidance to the company on international, federal and state privacy laws and regulations, including GDPR, GLBA, and CCPA.

Lead initiatives to strengthen the legal department through systems improvements and the preparation, implementation and refinement of forms, processes and procedures

Assist with preparing and reviewing SEC filings

Provide (directly or in cooperation with others) Ethics and Compliance training across a variety of legal and regulatory issues to employees;

RequirementsJ.D. with an accredited law school and current license to practice law in at least one U.S. jurisdiction

7+ years’ extensive experience in general corporate and commercial law at a major law firm or in-house

Strong analytical skills with the ability to interpret and apply legal requirements in a practical business context

Demonstrated ability to work both independently and in cross-functional group setting, manage multiple priorities, and meet deadlines in a dynamic, fast-paced environment

Sharp mind as well as a high EQ with exceptional interpersonal skills and ability to develop relationships

Strong negotiation skills and ability to interact with legal and business leaders internally and externally

Process-oriented with a desire for constant improvement and development of best practices
