Associate General Counsel

UTAH CONSTRUCTION COMPANY has an opening for a self-motivated attorney interested in an Associate General Counsel position.
Daily tasks may include the following:
Manage BHI's legal matters
Provide legal counsel and advice to the board, corporate officers, upper managers and employees of BHI relating to corporate legal matters
Research and keep up to date on all laws applicable to BHI
Study and be proficient in construction contractual provisions including, but not limited to AIA, ConsensusDocs, EJCDD and other contractual forms
Develop and oversee contract management policies and procedures from drafting or review to negotiation, execution and filing
Manage and oversee records management, filing, access, retrieval, safe keeping and legal holds
Review contracts, leases, transactional documents, other legal documents as well as, identify issues and recommend revisions as necessary
Generate notice, change order forms, and other helpful forms for construction contracts and projects
Negotiate or assist project managers in negotiating contracts, claims, change orders as appropriate and resolving project issues
Assist in preparing correspondence, notices and claims
Draft and prepare construction, vendor, employment contracts, leases, transactional documents, notices, change orders and other legal documents
Develop and maintain subcontract forms
Provide training and instruction and oversee use of the same
Develop and oversee pre-lien, construction lien and bond claims, policies and procedures
Maintain trademarks and copyright filings
Maintain corporate and trade name compliance in all states where BHI has a presence
Maintain corporate formalities, records, filings, annual reports, meetings, proxies, minutes, stock assignments, stock agreements, stock ledgers and other corporate requirements
Maintain and oversee licensing in all states and localities where BHI has a presence
Receive all adverse lawsuits and claims. Analyze, oversee and provide counsel and advice to offers and upper management on strategy and response to lawsuits and claims
Select and retain outside counsel, as required, to obtain legal opinions or to handle claims and litigation
Work with and oversee activities of outside counsel. Work to minimize legal costs
Assist with collections as requested
Employ a proactive, positive and professional approach and attitude to all essential duties
Increase job knowledge by participating in educational opportunities, reading technical and regulation publications as applicable
Perform any other duties or assignments as the management team deems necessary.
QUALIFICATIONS
Juris Doctorate from ABA-accredited law school
At least 5 years' experience reviewing and negotiating contracts
Background in the construction industry
Prior litigation experience a plus
