Inside the RoleOur legal team seeks to hire a Corporate Counsel to support our Business Innovation and Corporate team who is a strategic thinker that is motivated to play a key role in our goal to lead sustainable transportation. The team is responsible for supporting the growth of our connected, autonomous and electric mobility product offerings. On the business innovation side, you will negotiate joint development, licensing and other technology and general business transactions. On the corporate side, you will perform the role of Assistant Corporate Secretary, support mergers and acquisitions, capital market transactions, and partner with DTNA's business and strategy teams to develop new and innovative approaches for market growth.You will need to work proactively with cross-functional peers to help achieve common goals and objectives. Success in the role will require a high level of collaboration with stakeholders from various product groups, engineering, IT, treasury, strategy, members of our legal and compliance team, external counsel, and our headquarter groups based in Germany. The Corporate Counsel must approach the work with the goal of improving processes and outcomes.You will excel in this role if you are analytical, well organized, a flexible and inclusive communicator, think proactively, possess good business sense and a growth mindset. $136,000.00 -$173,500.00

tuition assistance and volunteer paid time off; short-term and long-term disability plans.What You Drive at DTNABusiness Innovation:Assist in the creation, drafting, review, and negotiation of technology-related contracts, including inbound/outbound licenses, joint development agreements, and joint industry projects.Advise and counsel a diverse client base on data related issues such as the collection, storage, use and security of data, as well as monetization opportunities and business models.Review and assess questions or concerns related to open-source software, SaaS, Daas, PaaS, and DBaaS products.Create playbooks and training materials to enable fellow legal team members as well as members of the engineering, product and procurement teams to address common commercial transaction and commercial terms questions, including data issues and product development concerns.Revise and develop policy and procedure documentation relating to commercial transactions, internal data use and management, and implementation of new software tools.Prepare and maintain applicable data ownership and security related contract forms and/or clauses in collaboration with our commercial legal team.Corporate:Assist in the drafting, review and negotiation of merger and acquisition transaction documents, as well as, joint ventures and other partnership agreements.Assist due diligence activities in support of merger and acquisition activities and financial programs of the Daimler Truck Group.Review, advise, and negotiate banking or other financial instruments, such as corporate guarantees, bond indemnity agreements, intercompany and third-party loan agreements, ISDA schedules, FX forward transactions, ultimate beneficiary designations forms, collateral agreements, etc.Participate in Private Placements under Rule 144A, Credit Facilities, the Euro Medium Term Program, Commercial Paper Programs of Daimler Truck Group, External or Internal Factoring, as well as Canadian Domestic Bond placements with assistance of outside counsel.Advise on enforcement of internal or external policies, and assist with investigations or audits.Provide guidance on corporate finance and banking new emerging laws and regulations to achieve regulatory compliance and minimize Company risk.In the role of Assistant Corporate Secretary, with paralegal support, document and maintain director and officer elections, board of directors' resolutions and related documents for corporate minute books of company and all US and Canadian subsidiaries.Team Member:Establish close, collaborative relationships with the legal team to provide subject-matter expertise when the need arises.Keep informed of new laws, regulations and industry trends that could affect the company and proactively make recommendations for changes to practices and policies.Manage outside counsel with an eye for best value services.Create and disseminate regular reports of key metrics (dashboards) to drive improvement.Have the courage to form and defend a point of view on sensitive, high-profile issues, balanced with the humility to accept and incorporate other perspectives.Blend rigorous legal assessment with creative problem solving.Be self-motivated and intellectually curious.Knowledge You Should BringJuris Doctor (JD) degree.Membership in good standing in a state Bar with the ability to practice law in Oregon as in-house counsel.4+ years relevant legal experience with a mix of law firm and in-house counsel roles preferred.Experience negotiating and drafting commercial agreements including software related agreements (EULAs, development agreements, license agreements, etc.).Exposure or working knowledge of open-source software, SaaS, Daas, PaaS, and DBaaS products.Exposure to corporate maintenance and governance activities.Exposure to capital market transactions including due diligence activities.Exposure to merger and acquisition transactions and joint venture formation.Experience communicating with and presenting information to leaders and executives.Ability to influence and gain partnership where direct reporting lines are absent.Highly organized and able to track open tasks to closure.Understanding of 80/20 and Continuous Improvement methodologies.Experience with utilizing technology to support workflow efficiency.Ability to bring levity and humor to an otherwise serious practice.Exceptional Candidates Might HaveInternational experience and supporting cross-border transactions is a bonus.Reports to: Associate General Counsel Business Innovation and CorporateThis position is not eligible for relocation support.#LI-JN2 #LI-HybridWhere We WorkThis position is open to applicants who can work in (or relocate to) the following location(s)- Fort Mill, SC US, Portland, OR USYOU MAKE US - YOU MAKE THE DIFFERENCEPeople are what makes us - everyone makes the difference at Daimler Truck.
