The Capital One Legal Department is seeking an attorney for its Capital Markets Legal team to provide business, transactional and regulatory counsel support on Commercial Bank capital markets transactions. The successful candidate will become an advisor for Capital One’s Commercial Bank Capital Markets team, focused on capital markets transactions, including equity and debt capital markets, asset backed securities transactions, mergers & acquisitions advisory services, derivatives, and New Markets Tax Credit transactions, for one of the top 10 Commercial Banks in the country. This position includes the opportunity to play a role in Commercial Bank-wide projects and initiatives and work with senior management and legal teams across the enterprise.The role also includes managing outside counsel, engaging with trade/industry organizations and working with other internal groups such as Accounting, Commercial Risk, Compliance, Commercial Credit, Underwriting and Tax. The successful candidate must have strong legal and analytical skills, an ability to navigate novel legal and business situations, and the flexibility to simultaneously manage a wide range of projects while working seamlessly with our business and legal partners.The successful candidate will work closely with multiple groups within the Commercial Bank as well as other teams across Capital One to identify legal and reputational risks, interpret applicable laws and regulations, deliver grounded legal assessments and provide thoughtful, creative and practical solutions and recommendations to support our business partners’ strategies.Responsibilities Include:

Executing on internal processes and procedures in support of a wide variety of equity and debt capital markets transactions, including equity and debt private placements and underwriting opportunitiesProviding legal support to investment bankers on mergers & acquisitions advisory engagements, including negotiation of engagement letters and associated non-disclosure agreementsProviding legal support for New Market Tax Credits business teams, and executing on potential business opportunitiesProviding legal guidance on derivatives matters, including: collateral operations and swap dealerCounseling and advising the Capital Markets team on the impact of changes in laws and regulationsInterpreting and providing guidance on existing agreements and obligationsProviding strategic legal advice on complex and novel issuesSupervising process-oriented work of other legal professionalsManaging and coordinating outside counselBasic Qualifications:

Juris Doctorate from an accredited law schoolActive member in good standing of at least one state barAt least 4 years of experience in a law firm or in-house legal department, working on financial transactions or capital markets transactionsPreferred Qualifications:

5+ years of experience providing advice and counsel on capital markets transactions within the financial services industryKnowledge of derivatives transactions and legal documentation, including CFTC regulations relating to swap dealersKnowledge of broker dealer regulations, including SEC and FINRA rulesKnowledge of New Markets Tax Credit rules and regulationsAt this time, Capital One will not sponsor a new applicant for employment authorization for this position.Capital One offers a comprehensive, competitive, and inclusive set of health, financial and other benefits that support your total well-being.
