The Chief Legal Officer ("CLO"), who will be seated remotely in the United States, will serve as the head of the corporate legal department and will be responsible for the global legal affairs of Onix. This role also involves providing legal counsel to the Board of Directors, Chief Executive Officer, Chief Financial Officer and other senior management throughout the business. The ideal candidate for this position must possess the ability to take initiative, have excellent management/leadership skills and carry strong business acumen. A Juris Doctor (JD) Degree and an applicable license within the United States to practice law are required for consideration for this role.Responsibilities:Develop and lead overall corporate legal strategy, corporate governance and the delivery of any relevant legal services, to always promote and protect the company's best interests.Develop and lead all internal audits and corporate compliance programs.Maintain proper corporate interactions with all relevant Local, State and Federal governmental bodies, legislatures and the community at large.Consistently advise the CEO and other officers of the company on a wide variety of topics and issues.Participate in the formulation of general management policies as a member of the Executive Management Team.Manage a team of Corporate Counsel and other members of the legal department, both on-shore and off-shore.Resolve legal inquiries from sales, finance, human resources, management and others.Negotiate and draft a wide variety of business agreements, including but not limited to software licensing, professional services, partnership, technology and marketing agreements.Manage litigation disputes relating to several areas of law (i.e. commercial, employment, bankruptcy, etc.).Participate on company cross-functional Security Team and participate in audits.Education & Qualifications:A Juris Doctor (JD) Degree from an accredited law school in the United States is required.Must be a member, in good standing, of a State Bar in a relevant jurisdiction in the United States.At least eight years of experience directly related to the duties and responsibilities specified is highly preferred.Must have three or more years of experience in the technology industry.Must have previous experience with intellectual property law agreement transactions.Must have prior knowledge of privacy regulations such as CCPA, GDPR and/or HIPAA (CIPP Certification is a plus).Experience with Merger & Acquisition transactions is required.Experience with employment law on a global scale/internationally is a plus.Prior experience working closely with a Board of Directors on a broad range of legal and business issues, governance matters and corporate strategy.An outstanding team player, who is inherently proactive, driven, collaborative, dedicated and possesses the ability to develop first-class relationships, both internally and externally, as well as a strong commitment to building true shareholder value.It is the policy of Onix to ensure equal employment opportunity in accordance with the Ohio Revised Code 125.111 and all applicable federal regulations and guidelines.
