This role offers the opportunity to work on high-profile deals and be a key player in a dynamic legal environment.Duties and ResponsibilitiesPrepare and review bid letters for commercial mortgage-backed securities transactions.Negotiate confidentiality agreements and securitization disclosure documents.Draft and analyze operative documents, including pooling and servicing agreements, mortgage loan purchase agreements, and investor certifications.Manage and coordinate critical aspects of transactions from due diligence through to closing.Collaborate effectively as a critical member of deal teams, ensuring smooth execution of transactions.Provide legal advice and strategies to clients regarding CMBS transactions and related matters.Conduct thorough legal research and stay current with industry trends and regulations.Support senior attorneys and contribute to developing client relationships and business development efforts.Requirements3-7 years of experience in securitization and CMBS transactions.Proven hands-on experience with bid letters, confidentiality agreements, and operative documents.Demonstrated ability to manage transactions from due diligence through closing.Previous experience in a large law firm environment is strongly preferred.Strong understanding of CMBS industry practices, regulations, and documentation.EducationJuris Doctorate (JD) from an accredited law school.CertificationsAdmission to practice law in the relevant jurisdiction(s) (NC bar admission preferred).SkillsExceptional analytical and problem-solving skills.Excellent written and verbal communication skills.Strong negotiation and drafting skills.Ability to work independently and as part of a team.High attention to detail and organizational abilities.Proficiency with legal research tools and software.
