Equity Admin and Legal Specialist Uniphore is looking for a “can-do” professional to join its fast-paced legal team. This position will have a hands-on role in all aspects of the legal team, with a primary focus on equity administration and legal operations. This position reports to the Senior Corporate Counsel but will work closely with our Finance and People functions, as well as directly with our General Counsel on certain matters.

Equity Administration Job Duties:

Equity management, including management, maintenance, and accurate record keeping as it relates to all equity matters and handling of all aspects of the Company’s equity incentive plan.

Attention to detail is an absolute must for this position.

Support on investments, acquisitions, and other strategic transactions, as needed.

Respond to all executive, employee, investor, and other key stakeholder inquiries.

Coordinate among various departments such as HR, finance, and legal to ensure alignment and accuracy of equity-related data.

Create and drive processes in alignment with other departments, such as HR, to increase efficiency relating to the gathering of equity-related data.

Proactively conduct periodic audits of equity data to ensure data integrity and compliance with internal policies and external regulations.

Maintain compliance with worldwide equity laws and interface with employees regarding the administration of their equity grants. This includes updating equity compliance charts and making equity-related compliance filings around the world.

Management of the Company’s online equity administration application and management of the Company’s capitalization table.

Legal Operations Job Duties:

Lead projects to plan for, select, implement, optimize, and maintain legal tech to streamline new or existing processes, and drive efficiency across the organization.

Assist the department’s efforts to create and refine forms, playbooks, systems, processes, and procedures.

Work closely with other legal team members to assist in the execution and notarization of documents.

Manage the legal team budget, including opening and closing POs with Finance, working with legal professionals to obtain data necessary for forecasting and accruals, and accurately processing invoices.

Aggregate metrics from various systems and accurately summarize legal team efforts in executive-level decks as needed.

Required:

Ability to work in a fast-paced environment, manage competing priorities, adhere to tight deadlines and collaborate with stakeholders across the business.

Has the demonstrated ability to come up with creative solutions to work in a dynamic environment.

Has at least 2 years of experience with exposure to commercial sales processes and equity management.

Experience working with CLM and privacy management tools and software is a plus.

Exceptional communication and interpersonal skills, with the ability to effectively collaborate with stakeholders at all levels of the organization.

Strong attention to detail and customer service focus is a must.

Excellent project management skills with the ability to manage multiple projects simultaneously and meet deadlines.

Strategic thinker who can take the lead and drive solutions for successful business outcomes.

Proficiency in equity management software (e.g., Carta, Shareworks) and Microsoft Excel, and experience maintaining a company capitalization table.

Experience with stock administration, including familiarity with equity compensation concepts such as options, RSUs, and other equity awards.

Hiring Range:

$77,000 - $105,850 - for Primary Location of USA - CA - Palo Alto

The specific rate will depend on the successful candidate's qualifications and prior experience.
