That’s why academic medicine, and the continuous pursuit of knowledge, is at the center of everything we do at the Medical College of Wisconsin (MCW).The Medical College of Wisconsin, a private, not-for-profit health university which includes one of the largest medical schools in the United States along with one of the largest faculty practices, is seeking an experienced health care attorney to serve as their next Deputy General Counsel.This role will provide high-level legal support through advising and guiding MCW on contractual and business arrangements with its clinical partners, including Froedtert Health, Children’s Wisconsin, and the Zablocki VA. Independent judgment/initiative required. Key responsibilities and priorities include:Responsibilities:Serve under the oversight of the General Counsel and act temporarily in his/her absence. Propose strategic initiatives to enhance the legal support provided to clients of the office.Provide legal counsel and strategic advice to the organization’s executives and management.Review, draft, negotiate and manage a variety of complex contracts relating to MCW’s clinical enterprise, including agreements with clinical partners, professional service agreements, and agreements relating to MCW’s clinically and financially integrated networks.Serve as the primary legal representative for mergers and acquisitions, including corporate and contractual joint ventures. Have a detailed understanding of how to structure complex corporate arrangements. Draft relevant corporate documents and direct due diligence activities.Assist in maintaining good corporate governance practices, including advising on board and corporate structure matters, and compliance with corporate bylaws and regulations.Advise on issues relating to corporate compliance, including the Stark and Anti-Kickback laws, physician/provider licensure, not-for-profit tax issues and antitrust laws.Serve as a subject matter expert and act as a resource to other in-house attorneys and legal team members. Lead and direct the work of certain legal staff members and external counsel.From time to time, advise on matters relating to research, education, real estate, purchasing, government relations, faculty employment, HIPAA, student conduct issues and more.Perform other duties and responsibilities as assigned.Minimum Qualifications:Education: Advanced Degree: J.D. or LL.M from an accredited law school.Experience: 15 years of relevant experience, with a strong background in healthcare, education, and not-for-profit corporations.Licenses/Certifications: Member of the Wisconsin Bar, or the ability to obtain in-house counsel designation.Demonstrated leadership and managerial skills, with excellent business acumen, high ethical standards, and a commitment to legal and regulatory compliance.Preferred Qualifications:Previous experience in a senior legal role or as in-house counsel is preferred.Eastern Wisconsin is a vibrant, diverse metropolitan area.
