Strong academic credentials, a Juris Doctor (J.D.) degree, and admission (or steps to become admitted) in California are essential.Duties:Provide comprehensive legal counsel to private equity/sponsor clients regarding M&A transactions, including acquisitions, dispositions, and growth equity/VC investments.Skillfully manage multiple matters concurrently, ensuring efficient completion and client satisfaction.Draft, review, and negotiate various transactional documents such as purchase agreements, disclosure schedules, and due diligence materials.Conduct thorough legal research and analysis on M&A-related issues, including representation and warranty insurance.Collaborate closely with internal teams, clients, opposing counsel, and other stakeholders to facilitate successful transactions.Requirements:Juris Doctor (J.D.) degree from an accredited law school.4-6 years of hands-on experience in M&A, particularly with private equity transactions.Strong academic record demonstrating excellence in legal studies.Admission to the State Bar in California, or actively working towards admission.Proficiency in managing complex matters concurrently and meeting tight deadlines.Excellent written and verbal communication skills, with a keen attention to detail.Ability to thrive in a collaborative team environment while also capable of working independently.Certifications:Admission to the State Bar in California.Skills:In-depth understanding of M&A legal principles and practices, with a focus on private equity transactions.Proven ability to effectively manage multiple matters and prioritize tasks accordingly.Strong analytical and problem-solving skills, with acute attention to detail.Proficiency in conducting legal research using various tools and databases.Exceptional interpersonal skills, facilitating effective communication with clients and colleagues.Adaptability and resilience in navigating complex legal issues and transactional dynamics.Ability to maintain composure under pressure and deliver high-quality work within tight deadlines.Preferred:Previous experience with representation and warranty insurance in M&A transactions.
