The ideal candidate will be adept at advising on both the intellectual and commercial aspects of M&A and other corporate transactions.Duties:Advise clients on intellectual property matters related to technology transactions, including licensing, acquisition, and commercialization.Draft, review, and negotiate complex commercial agreements, including technology licenses, development agreements, and joint ventures.Provide counsel on intellectual property issues in mergers, acquisitions, and other corporate transactions.Conduct due diligence and risk assessments of intellectual property assets and transactions.Stay abreast of industry trends and technological and intellectual property law developments.Collaborate with clients, internal teams, and external parties to develop and implement strategic solutions.Prepare and deliver presentations and training sessions on intellectual property and technology transaction matters.Requirements:Minimum of 3+ years of experience in intellectual property law, focusing on technology transactions.Demonstrated expertise in handling complex commercial transactions for technology companies.Strong intellectual property and contract law background, with practical experience in M&A and corporate transactions.Proven ability to provide strategic advice on the intellectual and commercial aspects of transactions.Excellent oral, written, and interpersonal communication skills.Superior academic credentials and a solid professional track record.Education:Juris Doctor (JD) degree from an accredited law school.Admission to the Bar in California.Skills:Advanced knowledge of intellectual property and technology transaction law.Strong drafting and negotiation skills.Ability to handle complex legal issues and provide strategic counsel.Exceptional organizational and project management skills.High level of professionalism and client service orientation.Proficiency in legal research and analysis tools.
