Position Description:

We are searching for an Associate General Counsel who will be responsible for providing broad legal support to a $37.3 billion dollar wholesale bank and technology service provider.

The ideal candidate has 5 or more years of legal experience in banking or a related industry, is proactive and eager to learn, and has excellent verbal and written communication skills and the ability to build positive working relationships with internal and external stakeholders.

The Associate General Counsel will report to the Senior Vice President, Deputy General Counsel and have primary responsibility for vendor and contract management; records management; data privacy; monitoring and analyzing new regulatory requirements; responding to due diligence requests from counterparties, auditors, and other third parties; managing the Bank’s insurance renewal; and providing other legal support as requested.

Day-to Day-Duties and Responsibilities:

Draft and negotiate the terms and conditions of all bank contracts and monitor renewals. Maintain procedures for the selection and management of vendors that provide services for the bank. Implement risk assessment and due diligence best practices and facilitate oversight measures relating to third party vendors consistent with regulatory guidance and the standards and procedures adopted by bank management.

Act as an expert resource for the company on applicable state, federal and international privacy laws and Farm Credit Administration requirements for data privacy. Support Chief Information Security Officer in ensuring adequate data privacy protections in place.

Lead implementation of bank records policy, including identifying bank records, establishing retention periods, maintaining procedures for records retention and disposal and implementing adequate control mechanisms to comply with applicable laws.

Respond to due diligence requests from internal and external stakeholders; manage insurance claims and annual renewal of Bank’s insurance.

Assist in the analysis of new regulatory requirements and draft comments to proposed rules, and develop policies, procedures, and other documentation.

What You Bring to the Team:

Bachelor’s degree and Juris Doctor or equivalent and licensed to practice law in Texas.

5-10 years’ legal experience.

Experience in banking or financial services industry is preferred.

Excellent verbal and written communication skills, with a strong attention to detail.

Ability to work onsite in bank’s Austin office on a regular basis.
