JOB SUMMARYThe Corporate Attorney provides general legal guidance on a broad variety of corporate and compliance matters including regulatory, securities, employment, intellectual property, corporate governance, contracts, transactions, real estate, marketing, and litigation. This position reports to the General Counsel and is a hybrid position (working 2-3 days in office each week).ESSENTIAL DUTIES & RESPONSIBILITIESConducts legal research and drafts legal memoranda to the General Counsel and other organizational stakeholdersDraft and review contracts, regulatory filings and other legal documentsOversees annual report filings, including SEC periodic and quarterly reportsWorks closely with functional partners on a range of issues including the annual report, proxy, and shareholder matters.Provide counsel on legislative and regulatory mattersPrepares, reviews, and negotiates a variety of complex agreements including, but not limited to, consulting, intellectual property, commercial leases, and supplier-related agreementsAssists in the administration of mergers, acquisitions, divestitures, and similar strategic transactions from the planning stages through integrationOther duties as assignedREQUIRED SKILLS & EXPERIENCEMust have public corporation, regulatory, or securities-related experienceTransactional experience in a corporate or in-house capacity requiredTakes an organized and focused approach to workManages projects with many and diverse stakeholdersDemonstrates initiative and resourcefulnessCommunicates effectively with members throughout the organization as well as external counselPossesses strong interpersonal skillsClear, concise oral and written communication skillsDemonstrates excellent negotiation skillsProficient in Microsoft Office and applicable legal research programsProperty and Casualty Insurance industry experience helpful, but not requiredEDUCATION & TRAININGJuris Doctor (JD) required5+ years’ experience in general law practiceMember in good standing of the Florida BarTypTap offers100% employer-paid health, dental, vision, life, and disability insurance for employees, a flexible paid time off plan, a 401(k) match, and bonus potential.Apply today!
