Definition of Classification:
The Associate General Counsel is responsible for assisting the General Counsel in providing a high level of professional legal service by representing and advising the University on a broad range of legal matters and by guiding the University in developing and implementing policies and programs to ensure compliance with applicable laws and regulations.
Reporting to the Vice President of Institutional Integrity and Strategy & General Counsel, this position supports the Office of the General Counsel’s values-based approach to legal advice and advocacy. The driving values are integrity, trust, transparency, and relationship.
This position may require the flexibility to work evening and weekend hours as well as the ability to travel, as required.
Duties and Responsibilities:
The duties and responsibilities include, but are not limited to, the following:
Provides advice to enable the University to conduct business in compliance with applicable laws and regulations and within the University’s reasonable risk appetite.
Designs and delivers appropriate compliance training/education to University community areas.
Provides advice to key leaders and administrators on legal matters affecting the University.
Drafts, negotiates and reviews contracts, including those for professional services, procurement, clinical practice, software licensing, and construction.
Supervise outside counsel and others representing the University in litigation or claims.
Serves as a legal advisor around significant employee relations and labor relations matters.
Drafts proposed policies and works collaboratively with key leaders to seek the adoption of such policies.
Regular, punctual attendance as required by the supervisor based on department needs.
Performs other related duties and special projects as assigned.
Qualifications Guidelines:
Any combination equivalent to, but not limited to, the following:
Experience/Training/Education:
Required
Five (5) years of experience in two or more of the following areas: higher education law, nonprofit/corporate governance, commercial transactions and contract review, employment law, and litigation management.
Must be a member in good standing with the State Bar of California or able to become a member within six months of employment.
A valid California Class C CA drivers’ license with a good driving record is required.
Note:
Out-of-state licenses are valid until appointment. A valid California Class “C” driver’s license must be obtained within ten (10) days of appointment (in accordance with CA Vehicle Code 12505c).
Preferred
Experience in advising on corporate risk management and regulatory compliance.
Knowledge and Skills:
Excellent oral and written communications skills.
Excellent interpersonal/relationship-building skills.
Strong legal research abilities.
Analytical, advocacy and problem-solving skills.
Ability to work collegially in a diverse and complex environment.
This position interacts periodically with senior level administration.
Proficiency in legal research platforms (Lexis Nexis and Westlaw) and Microsoft programs, including Word and Excel.
Ability to communicate effectively, written and verbal, in a friendly, patient, and professional manner.
Manage several projects simultaneously while making sound decisions.
Work well with deadline pressures and distractions.
High initiative with the ability to work independently.
Ability to exercise confidentiality and discretion.
Logical problem-solving ability with focus attuned to client’s needs and goals.
Ability to quickly adapt to changing circumstances.
Must be able to competently interact with a culturally and ethnically diverse population of students, faculty, and staff.

Standard office setting. Duties performed are primarily in an office environment while sitting at a desk or computer workstation or in meetings. At least minimal environmental controls to assure health and comfort.
Physical Demands:
Incumbents regularly sit for long periods; walk short distances on a regular basis; may travel to various locations to attend meetings and conduct work; repetitive use of hands and fingers to operate an electronic keyboard or other office machines; reach with hands and arms; bend, stoop, kneel or crouch to file; climb stairs; speak clearly and distinctly to answer telephones and to provide information; see to read fine print and operate computer; hear and understand voices over telephone and in person; and lift, carry and/or move objects weighing up to 20 pounds.
