Upstart’s legal team is a key component of the company, helping Upstart innovate in the fintech space across multiple products and supporting its mission of expanding access to credit based on true risk. We are a team of savvy, hardworking and genuinely nice individuals collaborating closely with the business in achieving its objectives.

As the Senior Corporate Counsel - Corporate & Securities, at Upstart, you will help lead major projects related to Upstart’s public company disclosures and Upstart’s corporate governance practices. You will also assist with strategic transactions like private and public securities offerings.

How you’ll make an impact

Provide legal support for the quarterly earnings process

Draft, review and update SEC filings such as the 10-K, 10-Qs, 8-Ks and Section 16 filings

Project manage the proxy statement and advise on executive compensation matters

Prepare Board and Board committee written consents, meeting materials, meeting minutes and resolutions

Help execute strategic transactions like debt and equity offerings and assist with M&A deals

Advise on insider trading issues and equity plan matters and review 10b5-1 trading plans

Minimum Qualifications

J.D. degree with solid academic credentials and a state bar membership (CA or NY preferred)

7+ years of legal experience in corporate and securities law at a major law firm and/or in-house at a public company

Excellent knowledge of securities laws and regulations, including Exchange Act filings like 10-Ks, 10-Qs, proxy statements, earnings releases and 8-Ks

Solid corporate governance experience working on board of directors’ and board committee matters

Familiarity and experience with corporate finance transactions, including in the debt and equity capital markets

Self-starter who thrives under limited direction and is excited by challenges

Strong communication and project management skills with a demonstrated ability to effectively and proactively provide quick, concise, and practical legal advice

Excellent judgment with demonstrated decision-making capability while dealing with legal, regulatory and business issues involving competing interests

Team mentality

Preferred Qualifications

2+ years of in-house legal experience at a public company

Experience leading mergers and acquisitions deals

Experience in the financial services or fintech space

Time zone requirements

The team operates on the West coast time zone.

Travel requirements

As a digital first company, the majority of your work can be accomplished remotely. The majority of our employees can live and work anywhere in the U.S but are encouraged to still spend high quality time in-person collaborating via regular onsites. The in-person sessions’ cadence varies depending on the team and role; most teams meet at least once per quarter for 2-4 consecutive days at a time.

Salary Information:

At Upstart, your base pay is one part of your total compensation package. The anticipated base salary for this position is expected to be within the below range. Your actual base pay will depend on your geographic location–with our “digital first” philosophy, Upstart uses compensation regions that vary depending on location. Individual pay is also determined by job-related skills, experience, and relevant education or training. Your recruiter can share more about the specific salary range for your preferred location during the hiring process.

Anticipated Base Salary Range: $161,700 — $223,800 USD
