Senior Conflicts Attorney – Client ContractsChicago, IL
Summary:The Senior Conflicts Attorney – Client Contracts will be responsible for the review, identification, and resolution of potential legal and ethical issues contained in Outside Counsel Guidelines, Master Service Agreements, and other client-drafted engagement terms (collectively, "Legal Contracts”) on a Firmwide basis. This person will also review, identify and resolve legal and ethical issues with respect to RFP requirements and responses and Client Due Diligence/Vendor Questionnaires directed to the Firm ( "Client Questionnaires”). This position will work closely with the Deputy General Counsel, Conflicts and New Business (DGC/CNB”), the Accounting Client Contracts Manager ( "CCM”), and other members of the Office of General Counsel.
Duties and Responsibilities:
Serve as subject matter expert on the ethical and legal issues with respect to Legal Contracts, RFPs and Client Questionnaires.Identify, discuss with the DGC/CNB and if necessary, the General Counsel, and resolve issues with respect to problematic ethical and legal terms in Legal Contracts, RFPs and Client Questionnaires.Coordinate and work closely with CMM, Client Arrangements, Pricing and IT Security teams in connection with the review of Legal Contracts, RFPs and Client Questionnaires.Review and advise partners regarding unique revisions to the ethical and legal terms of the Firm's standard engagement letter template.Draft a procedure manual for the review of Legal Contracts, RPFs and Client Questionnaires, including responses to frequent legal and ethical issues.Maintain an updated database for tracking the progress of Legal Contracts negotiations to ensure timely resolutions.Train and supervise as necessary two other designated Senior Conflicts Staff Attorneys to fill in during vacation, illness or unusually busy periods.Serve as subject matter expert on the Conflicts and New Business team regarding coding of ethical and legal issues in Intapp/TERMS.Conduct periodic audit of coding for ethical and legal issues in IntappTERMS and correct inaccurate entries.Review and analyze conflicting engagement terms in multiple engagement letters and/or Legal Contracts for the same client and recommend solutions to DGC/CNB.Work with DGC/CNB, Advance Waiver Committee and other Partner Committees to identify Legal Contracts and engagement letters without full advance waivers.Study and stay current with laws and rules pertaining to conflicts of interest, client contracts, and related ethical issues in each jurisdiction in the United States where the Firm maintains offices.Perform various special projects and duties as assigned.Requirements for this role:
Admission to a bar in jurisdiction where Firm has office (preferably Illinois or New York)Juris Doctor or equivalentExperience in review and negotiation of Outside Counsel Guidelines, Engagement Terms, and Master Service Agreements in a law firm or corporate settingNice to have experience:
Database research experience, especially Intapp Terms
