Contracts Counsel (US)

at Athena, you will handle the review and negotiation of client MSAs, NDAs, DPAs, and client-required documentation, as well as other tasks assigned by the General Counsel/Corporate Legal Counsel.Duties & Responsibilities

Associate Corporate Legal Counsel

Provide legal support to the company's corporate functions on local & global regulatory matters.Contract Review : Draft and review agreements with clients and suppliers/vendors to procure various goods and services in accordance with company policies and procedures, applicable laws, and customer requirements. Provide legal support in the review of local & global commercial contracts and data privacy initiatives. Conduct legal analysis of deviations to company contracting standards and collaborate with internal teams as necessary to align positions.

Negotiation : Participate in negotiations with clients and suppliers to agree on contractual terms. Liaise and collaborate with other stakeholders and teams within the company and with subcontractors/vendors.

General Legal Support : Act as a point of contact and legal advisor, responding to inquiries from teams such as Finance, Operations, Marketing, Client Experience, Learning Experience, Technology, and Information Security regarding client/vendor contracts, commercial transactions, data privacy, and other matters as assigned by the General Counsel/Corporate Legal Counsel.

Policy Drafting & Review : Create and review company compliance policies and procedures to ensure compliance with relevant processes, including business ethics, data privacy, information security, anti-corruption laws, trade compliance, and competition law.

Risk Management : Identify and flag compliance risks in day-to-day operations, assessing potential legal risks based on local laws and company policies.

Legal Knowledge & Expertise :Deep understanding of corporate law, employment law, contract law, intellectual property law, and relevant regulations.Ability to interpret and apply legal principles to complex business scenarios.Proficiency in legal research methods and tools.

Leadership & Management :Ability to lead and manage a legal team, delegate tasks effectively, and prioritize work.Experience mentoring and coaching junior attorneys.

Competencies

Technical Competencies :Legal knowledge and expertise in relevant laws and regulations.Proficiency in drafting, reviewing, and negotiating complex contracts.Strong risk management abilities, including identifying, assessing, and mitigating legal risks.Experience managing litigation and legal disputes.Knowledge of corporate governance principles and best practices.

Business Acumen :Strategic thinking with the ability to align legal advice with business objectives.Understanding of financial statements and business metrics.Familiarity with the industry in which the company operates.

Interpersonal Skills :Effective written and verbal communication skills.Ability to build and maintain strong relationships with internal and external stakeholders.Strong negotiation and persuasion abilities.Leadership experience within a legal team.

Relevant Experience Required

2-3 years of experience in contracts and data privacy law practice from a reputable law firm or company.2-3 years of experience in drafting, reviewing, and negotiating agreements.2-3 years of experience with in-house legal matters such as risk identification, compliance, contracts, and legal research.Experience using legal tools and databases.Educational & Certification Requirements
