JOB SUMMARYThis position is part of the Corporate Legal team that oversees mergers and acquisitions ("M&A"), joint ventures and investments. A primary focus of this position is to manage legal matters involving the Company, which may include the supervision of outside counsel. Research legal principles and precedents, gather relevant matter-related information, and draft legal documents. Advise business units on legal matters and ensure compliance with applicable laws and regulations. Provide work guidance to paraprofessionals and support staff in developing solutions to problems presented.

MAJOR DUTIES AND RESPONSIBILITIESActively and consistently support all efforts to simplify and enhance the customer experienceGather relevant related information and draft, negotiate, and prepare transaction documents with limited directionOrganize the development of plans related to the assigned area and provide direction to attorneys, paralegals, legal staff, and internal clientsSupport various business units by assessing legal risks and providing legal solutions to business issuesMeet with business clients and third partiesAdvise management on legal matters and ensure compliance with applicable laws and regulationsProvide legal advice and counsel for matters to the assigned business units or other client groups as neededProvide work guidance to support staff in developing solutions to problems presentedInterpret laws, rulings, and regulations related to the Company's business practices and for corporate entities in generalResearch and draft summaries of legal issuesResearch legal principles and precedentsCoordinate and manage outside counselPrepare analysis on topics related to the assigned area and present to business unitsInteract regularly with internal clients and understand the interworking, challenges, and goals of the business unitsResearch and evaluate different risk factors regarding business decisions and operations including collaborating with business units to devise efficient strategiesResearch and interpret legal principles and precedents and draft plans and/or agreements to resolve matters by applying knowledge of one or more legal specialtiesCollaborate with attorneys in other legal practice areas and business units to proactively identify and address key legal issues for managementDraft, review and negotiate contracts and other legal documents to ensure the Company's full legal rights have been metHandle matters/cases with multiple stakeholdersEvaluate existing policies, procedures and applicable training for the Company including related areas of legal/business practicesWork proactively with attorneys in other legal practice areas to identify and address key legal issues for managementKeep informed of industry-specific regulations and ensure that appropriate risk management strategies are in placePrepare and present compliance and legal briefing to business unitsProvide employees with business knowledge and contextCultivate strong and productive partnerships with internal and external connections

Must have willingness and ability to travel up to and sometimes exceed an estimated 20% of the time
