Cerebras Systems is seeking a sophisticated corporate attorney to oversee its corporate legal function, including IPO readiness and execution as they prepare for IPO. Core to this function and required expertise is your experience establishing a best-in-class company reporting infrastructure. This attorney will also oversee the global employment legal function. This is an exceptionally exciting, challenging, and high impact role, with an opportunity to own several functional areas during a critical period for the company. The ideal candidate has specific experience taking a company public, as well as overseeing public company reporting and governance. A combination of leading law firm and in-house legal experience is required. Employment law experience is not required, but a strong desire to learn and broaden their scope is critical.This role will report to the General Counsel, and will be a director of legal or associate general counsel, depending on candidate experience level.Responsibilities

Support IPO execution and public company readiness, including setting up rigorous and repeatable public company governance and reporting processes.Oversee 1933 and 1934 Act reporting for legal, including preparation and filing of 10-Ks, 10-Qs, 8-Ks, proxy statements, registration statements, and Section 16 forms.Set up and manage processes to administer corporate policies, such as the code of business conduct, insider trading and anti-corruption policies.Manage global equity program and stock administration, including transition to public company systems and liaising with transfer agent and brokers.Support our finance team on earnings and investor relations.Manage certain aspects of our international subsidiaries.Build out labor & employment processes in several jurisdictions.Manage outside counsel efficiently.Skills & Qualifications

8+ years of combined law firm and in-house experience in corporate law, with at least some experience leading securities and governance functions for a public company.In-house IPO support strongly preferred but not required.Some experience in employment law strongly preferred but not required.Willingness to assist with other practice areas, and desire to work on a lean team as an independent contributor while tackling a broad scope of legal issues.Experience working cross functionally and with executive leadership.Can-do attitude and strong work ethic; no task is beneath you and no problem is unsolvable.Ability to operate unsupervised with attention to detail.Juris Doctor (J.D.) and bar admission required (California preferred).Location
