All Belong Here.At Medallia, we hire the whole person.The Role and TeamMedallia is seeking an experienced Corporate Counsel for an 8-month contract to manage the corporate legal function during a leave coverage. The ideal candidate will bring experience at a global SaaS company and has managed ~100 subsidiaries in 40+ jurisdictions around the globe. The Corporate Counsel will be managing the day-to-day and project work associated with 65 global subsidiaries in 30+ countries with the support of a corporate paralegal.ResponsibilitiesInteract with the Board of Directors and the CEO, CFO, and CHRO regularly on equity matters, board meetings, organizational documents, and other ad hoc requests.Utilize and manage outside counsel around the globe while also handling low-risk and limited matters in-house, and determining when/how to involve outside counsel as needed.Manage and run non-standard ad hoc projects (ex: changing of directors, share transfers, closing/opening subsidiaries, inquiries from government authorities, changing/implementing corporate policies).Project manage similar-type projects and provide updates to senior leadership as needed.Exercise contract negotiations by taking the lead on reviewing and negotiating certain non-customer commercial agreements (ex: finance and legal engagement letters, lease agreements, contingent workforce agreements).Demonstrate experienced business judgment and acumen sufficient to effectively juggle competing responsibilities based on priority, evaluate compliance and corporate legal risks as they arise, and involve outside counsel and/or senior leadership when the situation dictates.Manage and support corporate paralegal responsibilities related to, but not limited to, corporate governance efforts for our global subsidiaries in over 30 countries.QualificationsMinimum Qualifications7 years of corporate legal experience either at a law firm or in-house.Demonstrated experience handling a range of corporate legal and governance matters in an environment with 20+ subsidiaries.Demonstrated experience managing and running non-standard projects that may come up i.e. changing of directors, share transfers, closing/opening subsidiaries, inquiries from government authorities, changing/implementing corporate policies, etc.Demonstrated project management experience.J.D., and member of a State Bar in good standing.Preferred QualificationsPrior experience managing at least 1 person.Able to work autonomously with little structure or guidance and have experience handling a high volume of requests.M&A experience (at least in a support capacity).Strong sense of ownership and accountability over all areas of the corporate legal function.Top-notch attention to detail.A practical, business-oriented approach to providing legal support and advice.Excellent oral and written communication skills.Strong problem-solving and critical thinking skills.High level of integrity, professionalism, intellectual curiosity, and willingness to grow.Willingness to get things done.A professional problem solver.At Medallia, we celebrate diversity and recognize the value it brings to our customers and employees.
