We are a market leader in our industry, committed to growth, compliance, and strategic expansion. We are looking for an experienced Legal Counsel to join our team and to provide comprehensive legal support to the business.

As our Legal Counsel, you will be responsible for providing legal support to AML and its associated companies. This role involves ensuring compliance with laws and regulations, mitigating risks, and facilitating informed commercial decisions.

The position requires you to have a deep understanding of corporate law, exceptional negotiation skills, and the ability to manage multiple legal projects simultaneously.

Key Responsibilities:

Legal Advice and Guidance:

Provide timely, accurate, and commercial legal advice to all Commercial and Operational parts of the UK business, including the management team, on a variety of legal topics, including corporate law, commercial contracts, employment law, and regulatory compliance.

Advise on legal risks, business strategies, and other issues related to the company’s activities.

Contract Management:

Draft, review, and negotiate a wide range of commercial agreements, including but not limited to supply of services agreements, SAAS agreements, research contracts, partnership agreements, and confidentiality agreements.

Ensure all contracts comply with legal requirements and company policies.

Keep appropriate records and maintain the company’s Legal database.

Develop templates and precedents.

Regulatory Compliance:

Monitor and ensure compliance with all relevant laws and regulations applicable to the company’s operations.

Keep abreast of legal and regulatory developments affecting the industry and provide updates to management.

Dispute Resolution:

Manage and resolve legal disputes and litigation, working with external legal counsel as necessary.

Represent the company in negotiations, mediations, and other dispute resolution processes.

Corporate Governance:

Support corporate governance matters, including board meetings, corporate records, and company policies.

Assist in the preparation of documentation for board and committee meetings.

Risk Management:

Identify and assess legal risks and develop strategies to mitigate them.

Develop and implement legal policies and procedures to protect the company’s interests.

Training and Development:

Conduct training sessions for employees on legal topics such as compliance, procurement, data protection, and contract management.

Develop and update internal policies and procedures to reflect current legal standards and best practices.

Minimum Requirements:

LLB and admitted as a solicitor in England and Wales with in-house experience.

Minimum of 5 years PQE.

Real estate/construction law experience is preferred.

Company secretarial experience.

Strong commercial contract drafting skills, with experience of complex service agreements.

Experience of providing legal advice to a commercial business.

Experience of litigation and disputes.

Strong knowledge of relevant laws and regulations.

Excellent analytical, negotiation, and communication skills.

Ability to manage multiple projects and work effectively under pressure.

High ethical standards and professional integrity.

Healthcare/Public procurement experience is preferred.
