JOB SUMMARY: This position assists in ensuring the Company complies with its obligations as a publicly traded company. In doing so, the incumbent will provide counsel and support to management and business owners throughout the finance, accounting, and investor relations functions (among others) by identifyingriskandofferingalternativebusinesssolutionstomitigatepotentialrisks.
JOB ROLES AND RESPONSIBILITIES:
- Provide legal and business counsel and support to:
- AVP, Assistant General Counsel – Securities
- SVP and General Counsel;
- Executive Management,
- Finance, Accounting and Investor Relations personnel; and
- to other departments including, but not limited to, Sales and Account Management, Marketing, Operations, Network Development, Human Resources, and
- Act as a Legal Department resource with respect to all securities, board, corporate governance, debt, executive compensation and entity management matters and functions:
- Assist in the preparation and filing of all SEC filings, including the Company’s 10-Ks, 10-Qs, 8-Ks, Proxy Statements, Section 16 Reports and other SEC-related
- Contribute to public company communications, including press releases, investor slide decks and investor
- Advise senior management, including leaders in finance and investor relations, with respect to disclosure matters and NYSE, SEC and corporate law requirements, including Reg
- Assist with development and administration of policy and procedures related to all securities matters, including Insider Trading Policy, and related equity
- Provide legal support for securities-related transactions including public offerings and other
- Assist with planning and executing Company’s Annual Meeting of
- Support public company secretarial function, including assisting with the preparation of board and committee materials, and advising with respect to corporate governance best
- Assist in the management of the corporate secretarial/entity management function for
- Assist in the operation of the Company’s Employee Stock Purchase Plan, Equity Plan and ESG program.
- Assist in the training of Legal Department staff and of other departments regarding use of materials related to securities and other related matters

- Supervise, develop, evaluate, and manage Assistant Counsel, paralegals, and administrative staff to ensure the efficient operation of
- Oversee execution and completion of complex legal projects, resolving them effectively with a minimum of
- Participate in development and delivery of training programs for Company departments regarding securities law, disclosure and related
- Support development and implementation of relevant policies and
- Collaborate, coordinate, and communicate across disciplines and
- Ensure compliance with HIPAA regulations and
- Demonstrate commitment to the Company’s core

This individual works independently under minimal supervision and with considerable discretion to make decisions that affect day-to-day operations within the Company. The incumbent applies comprehensive knowledge of principles, practices, and procedures to complete job responsibilities. The incumbent acts as a resource for Senior Counsels, Associate Counsels, Assistant Counsels, Paralegals, and other Legal Department staff as well as other Company departments. Work requires basing decisions on sound logic and rationale; advancing problems or issues toward resolution when encountering ambiguity or uncertainty; choosing the best alternative based on consideration of pros, cons, tradeoffs, timing and available resources; and making timely decisions on problems and issues requiring immediate attention; and making sound decisions on complex functional issues and problems. An incumbent may have direct subordinates but will generally provide work direction to others who do not directly report to this job.
COMPENSATION
The salary range for this position is $150-160K. Specific offers take into account a candidate’s education, experience and skills, as well as the candidate’s work location and internal equity. This position is also eligible for health insurance, 401k and bonus opportunity.
