About the Position

Transaction Counsel oversees and manages primarily the provision of legal services for Kenco’s logistics/warehousing division to ensure maximum protection of the company’s legal rights and to maintain its operations within the limits prescribed by law. Provides strategic guidance, consultation, and support to senior internal and external stakeholders on a comprehensive range of legal and associated issues. Counsel will work within the larger legal guidance provided by General Counsel to Kenco but will specialize in representing and supporting Kenco Logistic Services (KLS) and Fleet Services (KFS).

Functions

Provide legal counsel and guidance to the Board, Executive Leadership, and applicable stakeholders on legal matters relevant to a third-party logistics/warehousing focused company.

Prepare, negotiate, and manage customer, vendor, and other commercial contracts, agreements, statements of work, amendments, addendums, with a focus on limitation of liability, insurance, indemnification, risk, term and termination, lien rights, inventory management, financing, force majeure, and other similar concepts as they relate to the third-party logistics/warehousing industry.

Anticipate, identify, and counsel key stakeholders to develop legal strategies and solutions, often in situations of great political, public relations, or financial risk or significance, and with limited time for assessing alternatives.

Review, research, interpret, and prepare both written and oral opinions on a wide variety of legal issues.

Draft, review, and approve policies and procedures, regulations, bylaws, and other legal documents.

Review contracts, leases, and other legal documents; research legal issues and recommend revisions as necessary.

Represent or oversee the representation of Kenco in judicial and administrative proceedings pertaining to logistics/warehousing matters, and in negotiations when applicable.

May supervise legal work of other paralegals, legal specialists, and outside counsel; consults on difficult or sensitive issues.

Provide training to the leadership group on various legal issues through written direction and meetings.

Maintain professional growth and development through seminars, workshops, and professional affiliations to keep abreast of latest developments in applicable laws for Kenco and its customers.

Other applicable duties as assigned.

Qualifications

Juris Doctorate from an accredited university; member of an associated State Bar preferred.

3-5 years’ experience creating, reviewing, negotiating, and managing contracts required.

1-3 years’ direct experience with third-party logistics/warehousing preferred.

Experience with contract management system preferred.

Strong negotiating skills required.

Ability to provide competent legal advice and counsel to applicable stakeholders on a wide range of legal and policy issues.

Ability to analyze and interpret issues and to prepare legal opinions.

Ability to supervise and coordinate the work of legal professionals, paraprofessionals, and consultants.

Ability to develop and implement legal strategies and solutions.

Knowledge of the range of applicable laws and regulations which impact all facets of Kenco policy and operations.

Knowledge of current and developing legal issues and trends in area of expertise.

Knowledge and understanding of Kenco policies and procedures and the regulatory environment within which they operate.

Knowledge of contract law.

Knowledge of financial/business analysis techniques.

Knowledge of the judicial system and procedures.

Knowledge of legal documentation procedures and requirements.

Knowledge of community legal resources.

Travel Requirements

This position is expected to travel approximately 10% - 25%.
