We are seeking a dynamic and highly motivated Associate with expertise in Tax, Executive Compensation, Employment & Benefits. This role is a unique opportunity to engage in a high level of client interaction and collaboration with our team of dedicated professionals in the Legal industry. The successful candidate will be responsible for providing sophisticated tax planning and structuring advice in connection with mergers, acquisitions, spin-offs, leveraged buyouts and public offerings.

Responsibilities:

  • Provide comprehensive legal advice to clients on a wide range of tax, executive compensation, employment, and benefits matters.
  • Assist in the design and implementation of executive compensation arrangements, including equity-based incentives, deferred compensation plans, and employment agreements.
  • Counsel clients on the tax, securities, and labor law aspects of executive compensation arrangements.
  • Provide tax advice in connection with mergers and acquisitions, spin-offs, leveraged buyouts and public offerings.
  • Collaborate with other attorneys and professionals to provide a multidisciplinary approach to client service.

Qualifications:

  • A Juris Doctorate degree from an accredited law school.
  • Admitted to practice law in the state and in good standing.
  • A minimum of 5 years of experience in a law firm or corporate legal department, with a focus on tax, executive compensation, employment, and benefits law.
  • Demonstrated experience with benefits, securities, transactional, and labor and employment matters.
  • Strong knowledge of tax laws and regulations related to executive compensation and employee benefits.
  • Excellent analytical, drafting, communication, and negotiation skills.
