The Firm’s Sacramento office is seeking a full-time transactional Tax/Corporate Associate with 4 or more years of experience in transactional tax planning in connection with corporate and business transactions, including mergers and acquisitions, purchases and sales, financing arrangements, entity restructurings and complex commercial agreements. Candidates should have exceptional research, writing, and analytical skills and a strong academic record.

Job Details

Responsibilities:

  1. Provide comprehensive legal advice and support on a broad range of corporate and tax matters.
  2. Lead entity restructuring initiatives, ensuring compliance with applicable laws and regulations.
  3. Manage purchases and sales, including drafting and reviewing legal documents, conducting due diligence, and overseeing the closing process.
  4. Collaborate with cross-functional teams to strategize on tax planning, corporate structuring, and other related matters.
  5. Maintain up-to-date knowledge of relevant laws, regulations, and industry trends to provide effective counsel and mitigate risks.
  6. Develop and foster relationships with clients, providing them with exceptional service and legal advice.
  7. Collaborate with team members to develop and implement strategic initiatives that enhance the firm's reputation and performance.

Qualifications:

  1. Juris Doctor (JD) degree from an accredited law school.
  2. Admitted to practice law in the state of CA.
  3. Minimum of 4 years of experience in corporate law with a focus on tax law
  4. Proven track record of managing complex corporate transactions.
  5. Excellent legal drafting and negotiation skills.
  6. In-depth understanding of federal and state tax laws and regulations.
  7. Strong analytical and problem-solving skills, with the ability to provide practical and strategic legal advice.
  8. Exceptional interpersonal and communication skills, with the ability to interact effectively with clients and team members at all levels.
  9. Ability to manage multiple tasks in a fast-paced environment, with strong attention to detail and organizational skills.
  10. Demonstrated commitment to maintaining confidentiality and exercising discretion.
  11. Self-motivated with a strong work ethic and the ability to work independently as well as part of a team.
