6+ years of experience

corporate transactions . The ideal candidate will handle a variety of corporate legal matters, including
equity structuring ,
general commercial transactions ,

M&A transactions ,
corporate governance , and
joint ventures . Knowledge in areas such as
securities law ,
tax ,
healthcare , and
executive compensation
is a plus.
Bar membership
in New Jersey or New York is required.Job Responsibilities:
Handle
corporate transactions , including
M&A ,
equity structuring ,
private equity investments ,
corporate governance , and
joint ventures .Provide legal counsel on
general commercial transactions , drafting and negotiating contracts and agreements.Advise clients on
corporate governance
matters, ensuring compliance with regulations and best practices.Assist in the formation, structuring, and operation of
joint ventures
and other corporate entities.Work closely with clients on
private equity investments
and advise on related legal matters.Provide strategic advice on
equity structuring , financing, and corporate restructurings.Collaborate with other attorneys and legal teams to manage large-scale
M&A transactions
and corporate deals.Advise clients on regulatory issues, including
securities laws ,
tax implications ,
healthcare regulations , and
executive compensation
when applicable.Ensure compliance with
corporate governance standards
and relevant regulatory frameworks.Stay updated on changes in corporate and business law to provide accurate and current legal advice.Requirements:
6+ years of experience
in
corporate transactions , including equity structuring, M&A, private equity, and joint ventures.Experience with
corporate governance
and
commercial transactions .Bar membership
in
New Jersey
or
New York
is required.Strong
legal research ,
writing , and
negotiation skills .Knowledge of
securities law ,
tax law ,
healthcare law , and
executive compensation
is a plus.Ability to manage complex corporate transactions and work collaboratively with other attorneys.Client communication skills , with the ability to provide clear legal guidance and develop client relationships.Education:
Juris Doctor (JD)
degree from an accredited law school.Admission to the
New Jersey or New York State Bar
is required.Certifications (Preferred):
Certification or coursework in
corporate law ,
securities ,
tax , or
executive compensation
is beneficial but not required.Key Skills:
Expertise in
corporate transactions , including M&A, private equity, joint ventures, and equity structuring.Strong
corporate governance
