The Legal team helps the company grow responsibly, advocating for Brex and for the thousands of growing businesses we serve. We provide strategic advice and guidance to all Brex teams, protect Brex, advise on risk, and represent the company externally, negotiating with partners and interacting with regulators. What you'll do
You will be an integral member of the Legal team and provide sound and pragmatic legal advice on corporate governance, equity matters, fundraising, capital markets, and strategic financial transactions. You will be our resident expert on all corporate matters, assist with board governance and equity administration, and be primarily responsible for managing the corporate affairs of our domestic and global affiliates. You will collaborate with stakeholders to find creative solutions to business challenges while up-leveling corporate policies and processes for the next stage of Brex's success.

The expected salary range for this role is $304,800 - $380,250. However, the starting base pay will depend on a number of factors including the candidate's location, skills, experience, market demands, and internal pay parity. Depending on the position offered, equity and other forms of compensation may be provided as part of a total compensation package.

What you'll do

Responsibilities
- Manage the corporate affairs of the parent company and its subsidiaries, including compliance with relevant international, federal, state and regulatory laws, oversee maintenance of foreign and domestic subsidiaries, support international expansion, and advise on entity structuring and related treasury and capitalization matters
- Advise on and oversee all legal aspects of corporate transactional matters, including M&A, investments, asset-backed credit facilities, securitization offerings and other strategic corporate and commercial transactions including, where necessary, supervising and coordinating with outside counsel, both domestic and international, on matters requiring specialized legal attention
- Partner with the Finance team to provide strategic legal advice on corporate finance matters and our global equity program
- Serve as the expert on a range of corporate matters including corporate governance best practices, executive compensation, equity plans and stock administration
- Monitor and provide counsel on corporate governance and securities law developments, ensuring legal and regulatory compliance for the company's board and committees
- Assist in the timely support of obtaining new and renewal licenses, certifications, registrations, and exemptions, and responding to partner and regulatory audits
- Draft and maintain corporate policies, procedures, charters, and other resources, and provide trainings to ensure company governance best practices
Requirements
- 10+ years working experience in a combination of law firms and in-house, with a preference for experience in a growth stage tech or fintech company
- Deep experience working on complex corporate finance and/or other strategic corporate transactions, including acting as the lead legal advisor
- Demonstrated experience with private company fundraising and equity administration matters; experience with global equity programs is a plus
- Expertise in private company corporate governance and securities law, including advising boards of directors and management on Delaware corporate law matters; public company corporate and securities law experience is a plus
- Exceptional judgment and integrity, ability to handle complex matters independently, and closely manage outside counsel
- Entrepreneurial mindset and ability to work in a fast-paced environment
- Willingness to be a team player who pitches in to help out on other products and topics; one of our key tenets is "One Brex"
- Law degree and admitted to practice in at least one jurisdiction

- Experience scaling a company globally and navigating local requirements for corporate formation and maintenance
