Position Summary:We are currently seeking a transactional lawyer to serve as Securities and Corporate Governance Counsel reporting to our Chief Legal Officer. As Securities and Corporate Governance Counsel, you will support our Mergers and Acquisitions, Corporate Securities, Finance, and Corporate Secretary functions. In this role, you’ll work cross-functionally and play a central role in guiding decisions on a broad array of legal matters. This collaborative role offers significant growth opportunities as you work closely with our senior management team. You'll refine your core legal skills, enhance your business and legal judgment, and actively contribute to our shared growth and success. This position is based at our corporate headquarters in Chicago.Job Responsibilities:Preparing and reviewing all SEC filings (including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 forms) and other securities-related work.Monitoring and ensuring compliance with securities-related regulatory requirements, including SOX, NYSE listing standards, Reg FD, insider trading rules, and proxy advisory firm policies.Managing corporate governance and supporting AZEK’s board of directors, including preparation of board and committee agendas, resolutions, and other materials, and leading preparation for the annual meeting of shareholders.Advising on investor relations matters, including earnings scripts and releases, investor communications, investor outreach, and other investor activities.Assisting with M&A and other strategic matters, including managing outside counsel, conducting diligence review, negotiating, drafting/reviewing transaction documents, and supporting integration activities.Providing oversight of and managing new regulations applicable to public companies.Managing corporate organizational matters, including subsidiary records, intercompany matters, and state and local annual reports and other filings.Assisting with negotiating third-party contracts and supporting the legal department’s document management and document retention activities.Opportunistically assisting with other matters handled by the legal department, including marketing review, intellectual property management, litigation, and employment and labor matters.Leading special projects, both within the legal department and across a variety of functions.Effectively managing outside counsel on matters as necessary to accomplish legal and business objectives.Managing other duties as required.Required Experience:JD degree from an ABA-accredited law school.State bar certification in at least one state, with the expectation of future Illinois licensure if not licensed in Illinois (either in-house or full license).3 to 5 years of experience at a law firm or in-house required.Expertise in securities laws and filings, M&A, and corporate governance matters.Strong legal, analytical, problem-solving, decision-making, innovation, risk assessment, drafting, negotiating, and client communication skills.Strong time management and project management skills.Ability to take initiative, operate independently, and work cross-functionally.Detail-oriented.Strong verbal and written communication skills.Ability to organize and prioritize work.Ability to interact professionally and reliably with senior-level executives within and outside the company.Ability to excel in a fast-paced environment.Financial Benefits:401K with a 4% match.Company-paid Life Insurance and AD&D.Medical, dental, and vision insurance.Flexible Savings Account (FSA) and Health Savings Account (HSA).Employee stock purchase plan.Lifestyle Benefits:Competitive Paid Time Off Benefits including separate Holiday, Sick, and Vacation Time.Pre-tax Commuter Benefits (applicable areas only).Generous Child Care Leave Program.Wellness Program.Employee Assistance Program.Our compensation reflects the cost of labor across several geographic markets. The annual salary for this position ranges from $191,000 in our lowest market up to $239,000 in our highest market, plus bonus, equity, and benefits as applicable. The pay for roles at AZEK varies depending on a wide range of factors including but not limited to the specific work location, role, skill set, and level of experience.
