Summary:
Meta seeks an experienced and highly-motivated Corporate Paralegal to join the International Governance Team. Reporting to the Director and Associate General Counsel - Global Corporate, you will be very comfortable working on your own initiative, and as part of a global team, to deliver highly efficient company secretarial services and governance support to a diverse portfolio of legal entities in North America and Latin America. In addition to providing practical guidance to our cross-functional partners in finance, tax, treasury and legal in connection with the corporate compliance and legal entity management for Meta's legal entities in this region, the successful candidate will have a keen interest in creating scalable processes which exploit the wide range of technology solutions available to this team.
Required Skills:
International Corporate Legal Paralegal Responsibilities:
Take responsibility for a wide range of legal entity management matters including preparing resolutions for subsidiary formation, dissolution, director and officer changes, banking resolutions, delegations of authority, powers of attorney and share register updates
Manage and oversee annual report filings for U.S. domestic subsidiaries
Manage and oversee various secretary of state filings related to mergers, divestitures, name changes, qualifications, withdrawals etc.
Update and maintain group organization charts including preparing limited scope organization charts to be certified and distributed for specific purposes
Preparation and distribution of various board meeting materials as needed
Support compliance with the corporate obligations of foreign subsidiaries. Work with local counsel to ensure all affiliates outside the USA are in compliance with all necessary formalities (e.g., board meetings
timely approval and filing of annual accounts) including obtaining notarizations, apostilles, formation documents, certified copies, corporate filings and other corporate documents

Bachelor’s Degree
8+ years experience working with legal entity management systems, subsidiary governance, and group entity planning
Experience working in-house at the corporate secretary’s office within the technology and communications sector
Experience working at a large law firm with corporate legal and corporate governance experience covering US and LATAM region
Experience analyzing complex corporate legal matters and create and advocate for a coherent strategy for implementation
Experience being proactive, self-driven with the capacity to work autonomously in a dynamic work environment
Interpersonal skills and experience working collaboratively with cross-functional partners at all levels of the organization
Attention to detail and organizational problem-solving skills
Experience communicating effectively

Strong project management and legal operations experience, comfortable with using technology to create efficient solutions
Working knowledge of Diligent or similar legal entity management database
Experience in the use of case management systems and other reporting tools
Public Compensation:
$125,000/year to $173,000/year + bonus + equity + benefits
