Job Description

We are seeking an experienced Business Transactional Attorney to join our legal team. The ideal candidate will have a strong background in corporate law and will be responsible for advising clients on a variety of business transactions, including mergers and acquisitions, contract negotiations, entity formation, and regulatory compliance. The attorney will work closely with clients to draft, negotiate, and execute complex business agreements while ensuring that all transactions align with legal and regulatory standards.

Key Responsibilities

  • Drafting and Negotiating Contracts: Prepare, review, and negotiate contracts such as purchase agreements, joint ventures, partnership agreements,

and vendor contracts.

  • Mergers & Acquisitions: Manage all legal aspects of M&A transactions, including due diligence, risk assessment, and deal structuring.
  • Business Formation: Assist clients with forming new business entities (LLCs, corporations, partnerships) and ensure compliance with state and federal

regulations.

  • Corporate Governance: Provide counsel on internal governance, including drafting bylaws, shareholder agreements, and advising on board

responsibilities.

  • Real Estate Transactions: Handle legal aspects of buying, selling, and leasing commercial properties.
  • Regulatory Compliance: Ensure compliance with applicable local, state, and federal laws, including securities regulations and tax obligations.
  • Financing Transactions: Draft and negotiate loan agreements and other financing documents.

Qualifications

  • Juris Doctor (JD) degree from an accredited law school.
  • Active bar membership in MI
  • 3-6 years of experience in business transactional law.
  • Strong knowledge of corporate law, contract law, M&A, and securities regulations.
  • Experience drafting, reviewing, and negotiating complex business agreements.
  • Strong analytical, negotiation, and communication skills.
  • Ability to work in a fast-paced environment and manage multiple transactions simultaneously.
  • Experience working with startups, small businesses, and large corporations is a plus.
  • Proficiency in legal research tools and contract management software.
