Capitalization Table Management SpecialistCooley is seeking a Capitalization Table Management Specialistto join the Practice Management team.Position summary:
Under the direction of the Manager of Capitalization ("CAP") Table Administration, the Capitalization ("CAP") Table Management Specialist will provide capitalization table management support by onboarding, equity financing, plan administration and other corporate transactions for private company clients. The specialist is responsible for generating, maintaining and analyzing accurate records of a company's capitalization table, providing critical support for equity-related transactions. Specific duties and responsibilities include, but are not limited to, the following:Position responsibilities:Onboard clients to online capitalization management platformMaintain accurate and up-to-date cap tables reflecting all equity ownership, including shares, options, warrants, convertible notes, and other securitiesTrack changes in equity ownership resulting from equity issuances, transfers, conversions, exercises, and other corporate actionsManage capitalization tables and perform data analysis related to the requested transactionAnalyze capitalization tables to reconcile and provide specified metricsAdminister equity compensation plans, including grants, exercises, and vesting schedulesAssist with equity-related documentation, including option agreements, RSU grants, and equity incentive plansPromote adherence to firm wide capitalization table management standards as adopted by the firmAll other duties as assigned or requiredSkills and experience:Required:After orientation at Cooley LLP, exhibit proficiency in the Microsoft Office suite, iManage and other firm applicationsAvailable to work overtime, as required2+ years (e.g., corporate finance or venture capital experience, including venture capital financings, private placements, M&A, and corporate maintenance)Senior level candidates must have 4 + years of directly applicable work experiencePreferred:Bachelor's degree, preferably in business, finance or accounting -related fieldAn understanding of equity management principles.Proficiency in cap table management software, familiarity with equity management platforms (e.g., Carta, Pulley, AngelList)Knowledge of regulatory requirements governing equity compensation, including SEC regulations (e.g., Rule 701, Rule 144)Strong math skills for estimating valuesLaw firm and/or venture capital experienceCompetencies:Strong analytical skillsExcellent oral and written communication skillsWillingness to learnMaintain a high level of professional integrity; ability to maintain confidentiality and build trustCooley offers a competitive compensation and excellent benefits package and is committed to fair and equitable employment practices.EOE.The expected hourly pay range for this position with a work schedule of 40 hours per week is $32.00 - $47.00/hour ($66,560 - $97,760 annually).
