Corporate Legal Counsel (Transactional Focus)
Location: Houston, TX, US, 77019BASIC PURPOSE:
Demonstrate proficiency in the legal practice, sound judgment and the provision of reasoned legal opinions, with minimal supervision. Keep General Counsel and Sr. Corporate Counsel apprised of current legal matters, initiatives and concerns of import being handled.MAJOR RESPONSIBILITIES:TransactionalDraft, review, revise and negotiate varied legal documents in numerous areas of contract and commercial law and corporate transactions, including but not limited to service, storage and transportation agreements, confidentiality agreements, commercial leases, and while working with business unit leaders and other interested parties.Review and analyze company responses to requests for proposals, bids, and offers, and provide guidance to business clients regarding related to such transactions and opportunities.GeneralProvide legal advice and counsel to business clients, using discretion and exercising independent judgment in numerous areas of contract and commercial law, general corporate transactions, and adversarial matters.Research and analyze various legal issues presented by clients and/or pertinent to business operations or matters and present results through preparation of legal memoranda and/or interaction with clients.Serve as liaison between Musket’s legal department and certain business clients and representing the department on assigned task forces and committees.Anticipate and identify potential legal issues and develop and recommend company policies and positions on same.Pursue continuing education on industry, evolving business operations, and company business strategies.Be able to work independently and with little supervision.Various other tasks as assigned.EDUCATION AND EXPERIENCE:Education:Bachelor’s Degree and Juris Doctorate Degree from an accredited law schoolLicensure: Licensed to practice law in TexasExperience:Minimum of 3 years of experience in a law firm and/or as corporate counsel, with experience in transactions, contract review, contract drafting skills.Experience with compliance and credit and finance law a plusSKILLS AND PHYSICAL DEMANDS:SkillsProficient in Microsoft Office and in on-line legal research, with ability to learn new software applications and programs, ability to type efficiently and prepare own documents and correspondence without reliance on dictation, and strong drafting, negotiation and oral communication.Typical Physical Demands:Requires prolonged stationary positions and some positioning of self to access under desk storage or low filing drawers.Occasional moving of equipment and/or lifting up to 50 pounds.Continuous operation of office equipment, e.g. computer keyboard, copy machine, printer, and calculator.Ability to perceive sound at normal speaking levels with or without correction, and visual acuity to perform activities such as preparing and analyzing data and figures, transcribing, viewing a computer terminal, and extensive reading.Possible infrequent overnight travel.Job Function(s):
