Exxon Mobil Corporation (“ExxonMobil”) is seeking to hire experienced transactional attorneys for its legal team in Houston, Texas. These attorneys will work with a team of experienced lawyers to support one or more of ExxonMobil’s Upstream and Product Solutions (Downstream and Chemicals) businesses on a wide variety of transactional, commercial, regulatory and operational matters, including but not limited to, the negotiation, drafting and implementation of agreements supporting a wide variety of transactions and operations (e.g., acquisition, joint venture, operating, and divestiture agreements) and goods and services contracts (such as EPC, drilling, and various equipment and materials purchase contracts).What you will do

Provide day-to-day legal support for ExxonMobil business units, developing relationships with key business leaders to drive positive business resultsSupport and lead a wide range of commercial transactions, including joint ventures, acquisitions, divestments, and other strategic transactionsDraft, review and negotiate commercial agreements, including M&A, joint venture and partnership agreements; customer and supplier agreements; EPC, project financing, and other project-related agreements; and goods and services contractsConduct and coordinate research into a variety of legal issues, providing legal analysis and counsel to business leaders that anticipates and helps mitigate legal risksWork closely with other teams within the ExxonMobil Law Department and other ExxonMobil functional groups (e.g., tax, regulatory, and finance functions)Interface with outside counsel on significant transactions, regulatory matters, and disputesAbout you

Skills and QualificationsJ.D. from an accredited law schoolStrong college and law school record (top 1/3 of class preferred)Licensed to practice law in at least one state (Texas bar membership strongly preferred)Strong transactional backgroundStrong research and writing skillsStrong interpersonal and communication skillsMinimum of three (3) years of relevant legal experience, at least partially with a major law firm, corporate legal department, or government agencyHigh ethical standards and integrityStrong analytical skills and ability to exercise sound business judgmentAbility and desire to work independently and as a member of an integrated teamAble and willing to travel domestically and internationally in support of client transactionsPreferred Qualifications/ ExperienceTransactional experience in the energy industryExperience drafting and negotiating agreements for complex transactions, including M&A transactions, joint ventures, investments, and other strategic transactionsProject finance experience on major energy or infrastructure projectsExperience managing legal compliance issues (e.g., antitrust, anti-corruption and trade law matters)Demonstrated record of leadership and initiativeForeign language proficiency is a plusRecord of pro bono experienceAn ExxonMobil career is one designed to last.
