The ideal candidate will have a strong interest in building a practice around healthcare transactional work, with a focus on private equity transactions. Prior experience in a sophisticated law firm environment is preferred. This position offers an excellent opportunity to work with high-profile clients in the healthcare sector, with a competitive salary and a flexible work arrangement.Duties and Responsibilities:Assist in managing healthcare transactional matters, including mergers, acquisitions, joint ventures, and private equity transactions.Draft, review, and negotiate transactional documents such as purchase agreements, shareholder agreements, and partnership agreements.Conduct due diligence in connection with healthcare transactions, identifying risks and regulatory issues.Advise healthcare clients on corporate governance, compliance, and regulatory matters related to transactions.Collaborate with senior attorneys and cross-disciplinary teams to provide comprehensive legal support to healthcare clients.Monitor and interpret developments in healthcare regulations, such as Stark Law, Anti-Kickback Statute, and HIPAA, and their impact on transactional matters.Provide legal support in the formation and structuring of healthcare entities.Participate in client meetings and help develop innovative solutions to complex legal and business challenges.Assist in business development activities, including client outreach and networking within the healthcare industry.Requirements:4-6 years of transactional experience, with a strong focus on healthcare and private equity transactions.Prior experience in a sophisticated law firm environment is preferred.Familiarity with healthcare regulations, including Stark Law, Anti-Kickback Statute, HIPAA, and other related laws.Ability to manage multiple healthcare transactions simultaneously and work effectively under pressure.Strong client communication skills and ability to work collaboratively with other attorneys and clients.Education:Juris Doctor (JD) degree from an accredited law school.Excellent academic credentials are required.Certifications:Admission to the Texas Bar or eligibility to waive into the Texas Bar is required.Skills:Strong drafting and negotiation skills for transactional documents.Excellent legal research and writing abilities.Solid understanding of healthcare regulations and compliance issues.Strong analytical and problem-solving skills.Ability to work effectively in a team and manage relationships with clients.Detail-oriented with excellent organizational skills.
