A law firm in Washington, DC is seeking a skilled Commercial Finance Associate Attorney with 4-6 years of experience in handling complex commercial finance transactions. The ideal candidate will demonstrate proficiency in commercial finance transactions, the Uniform Commercial Code (UCC), secured transactions, and have a strong background in drafting and negotiating loan documentation, including leveraged finance. Experience representing borrowers, lenders, private equity sponsors, and agents in diverse finance transactions is highly desirable. Job Duties: Conducting legal research and analysis related to commercial finance matters, including UCC issues and secured transactions. Drafting, reviewing, and negotiating a wide range of finance documents, including loan agreements, security agreements, and other related documentation. Advising clients on legal matters pertaining to commercial finance transactions, providing strategic guidance and risk assessment. Assisting in due diligence investigations and preparing related reports for finance transactions. Managing transactional closings and coordinating with clients and opposing counsel. Requirements: Juris Doctor (JD) degree from an accredited law school. Admission to the Bar and in good standing in the jurisdiction of practice (preferably Washington, DC). 4-6 years of experience practicing law with a focus on commercial finance transactions. Solid understanding of the Uniform Commercial Code and related legal principles. Experience in leveraged finance and familiarity with financial instruments and lending structures. Skills: Strong drafting, negotiation, and analytical skills. Excellent verbal and written communication abilities. Ability to work independently with minimal supervision and collaboratively in a team environment. Creative problem-solving skills and a solutions-oriented approach. Attention to detail and ability to manage multiple priorities and deadlines effectively. Preferred Certifications: Certification in Commercial Finance Law (if applicable).
