A law firm in Washington, DC, is seeking a Corporate Associate Attorney - Finance to join their team. The successful candidate will have 4-6 years of experience in corporate finance, particularly with financial institutions and borrowers involved in commercial finance transactions. This role requires expertise in drafting loan, security, and intercreditor documents, advising on covenant compliance, and leading due diligence teams. The candidate must demonstrate excellent writing skills, superior academic achievements, and the capability to manage multiple assignments with minimal supervision.
Duties and Responsibilities
Draft and negotiate loan, security, intercreditor, and related documents for corporate finance transactions.
Provide legal advice on covenant compliance, ensuring adherence to financial agreements.
Lead and manage due diligence teams in the review and analysis of financial documents.
Oversee the coordination and efforts of specialists involved in transaction processes.
Collaborate with clients, financial institutions, and other stakeholders to ensure successful transaction execution.
Maintain high standards of document accuracy and regulatory compliance.
Manage multiple projects efficiently and deliver high-quality results with minimal supervision.
Address and resolve complex legal issues related to commercial finance and real estate financings.
Requirements
4-6 years of experience in corporate finance, including work with financial institutions and borrowers on commercial finance transactions.
Proven experience drafting loan, security, and intercreditor documents and advising on covenant compliance.
Excellent academic credentials, including a JD from an accredited law school.
Superior writing skills and meticulous attention to detail.
Ability to manage multiple assignments simultaneously and deliver high-quality work with minimal supervision.
Strong analytical and problem-solving skills.
Education
Juris Doctor (JD) degree from an accredited law school.
Bachelor’s degree in Finance, Accounting, or a related field is preferred.
Certifications
Admission to the District of Columbia Bar (or eligibility to obtain admission).
Certification or specialization in finance or commercial transactions is preferred but not required.
Skills
In-depth knowledge of corporate finance, loan agreements, and financial documentation.
Advanced drafting, negotiation, and analytical abilities.
Effective leadership and management of due diligence teams.
Proficiency in legal research tools and financial software.
