A law firm in Dallas, TX, is seeking a highly skilled Mid-/Senior-level Finance Attorney with 4-6 years of experience to join their finance team. The ideal candidate will have a strong background in representing commercial banks, private credit lenders, private equity firms, and corporate borrowers in debt financing and hybrid investment transactions, including senior-secured, junior-secured, mezzanine loans, acquisition financings, and other structured financings. Duties: Represent commercial banks, private credit lenders, private equity firms, and corporate borrowers in a variety of debt financing transactions. Lead and manage hybrid investment transactions, including senior-secured, junior-secured, and mezzanine loans. Handle acquisition financings, including drafting, reviewing, and negotiating loan agreements and related documents. Advise clients on structured financing and investment strategies, ensuring compliance with legal and regulatory frameworks. Conduct due diligence and risk analysis for financing and investment transactions. Collaborate with clients, colleagues, and other stakeholders to structure, negotiate, and close complex financial deals. Draft, review, and negotiate security agreements, intercreditor agreements, and other related documentation. Stay current on industry trends, market conditions, and legal developments relevant to finance and lending. Requirements: 4-6 years of experience as a finance attorney, with a focus on debt financing and investment transactions. Proven experience representing commercial bank lenders, private credit lenders, private equity firms, and corporate borrowers. Strong understanding of senior-secured, junior-secured, mezzanine loans, and acquisition financings. Experience with structured financings and other complex investment transactions. Strong legal research, drafting, and negotiation skills. Ability to work independently and handle multiple complex transactions simultaneously. Excellent client-facing and communication skills. Education: JD from an ABA-accredited law school. Strong academic credentials, demonstrating a solid understanding of finance and transactional law. Certifications: Licensed to practice law in Texas, or eligible for admission. Skills: Expertise in debt financing and hybrid investment transactions. Strong negotiation and drafting skills in complex loan agreements and structured financings. Ability to collaborate with cross-functional teams and manage multiple high-level transactions. Analytical thinking and problem-solving abilities to address clients’ financing needs. Knowledge of current finance market trends and regulatory requirements. Experience: 4-6 years of relevant experience in finance law, with a particular focus on lending, private equity, and structured finance transactions. Demonstrated success in handling senior-secured, junior-secured, and mezzanine loans, acquisition financings, and similar transactions. Compensation: Competitive salary commensurate with experience.
