Director, Senior Counsel – Corporate

The Director, Senior Counsel – Corporate will be responsible for leading and managing the company’s commercial real estate transactions, overseeing vendor agreements, and guiding contract compliance efforts. This position requires a seasoned attorney with 8 to 10 years at a reputable law firm who can independently manage complex real estate deals and contract negotiations. Additionally, this role will oversee and mentor designated staff.
Responsibilities:
Serve as lead real estate leasing and transaction counsel concerning company locations, including acquisitions, leasing, and development. Draft and negotiate lease agreements, purchase and sale agreements, and other critical real estate documents.
Negotiate and draft leases, purchase and sale agreements, development agreements, reciprocal easement agreements (REAs), and various other commercial real estate documents, including lease amendments, ground leases, condominium documents, construction agreements, subleases, SNDAs, estoppel certificates, letter agreements, and default notices.
Provide legal guidance to internal stakeholders regarding lease provisions, operational issues, violations, signage, construction issues, access agreements, landlord/tenant disputes, and repair and maintenance issues.
Analyze title and surveys and identify potential environmental risk and liability.
Supervise and mentor the Contract Compliance Manager, providing guidance on contract management, compliance issues, and process improvements.
Manage and provide legal advice on vendor contracts, ensuring that agreements align with the company’s strategic goals while mitigating risk.
Be a key player in complex transactions, providing strategic counsel, due diligence, and advising leadership on transactional risk.
Work closely with business units, senior leadership, and external counsel to provide practical legal guidance that drives business objectives.
Assist in the management of all real estate-related litigation.
Assist in updating the Company’s real estate documents and forms.
Assist local land use counsel as needed with respect to zoning, permitting, incentives, and similar matters.
Qualifications:
Juris Doctor (JD) from an accredited law school.
8 to 10 years of experience at a reputable law firm with demonstrated expertise in commercial real estate transactions.
Strong contract negotiation skills, particularly with real estate leasing and acquisition agreements.
Experience providing legal counsel on acquisition or disposal transactions is a plus.
Exceptional legal writing, analytical, and communication skills.
Ability to manage multiple projects simultaneously and provide strategic advice in a fast-paced, high-growth environment.
