About the Role:We're on the hunt for an experienced
Venture Capital & Emerging Companies Associate
to join our client's
corporate practice
in
Boston . The ideal candidate will have
4+ years of transactional experience
and will quickly integrate into a dynamic
venture capital and emerging companies'
practice. This role involves leading key venture capital negotiations, drafting agreements, and advising emerging companies on a variety of matters. If you're ready to provide high-level legal services in a fast-growing industry, we want to meet you!
AM Law 100 Requirement:To be considered for this role, candidates must have recently worked at one of the
AM Law 100 firms . Only candidates who have worked at these top firms will be considered for this opportunity.
Your Mission:Draft and negotiate
venture capital investment agreements, including NVCA forms.Lead negotiations
of key terms for venture capital investments.Supervise, train, and mentor
junior associates on all aspects of venture capital financing.Advise
emerging companies
on day-to-day matters, including board and stockholder communications, approvals, and equity awards.
Core Competencies:Venture Capital & Emerging Companies Expertise : Strong experience drafting and negotiating venture capital agreements and advising emerging businesses.Client Counseling : Ability to advise clients on complex matters related to venture capital financing and corporate governance.Leadership & Mentorship : Proven ability to lead and mentor junior associates in corporate legal practices.Communication & Collaboration : Excellent written and verbal communication skills, with the ability to collaborate effectively in team settings.
What You Bring:Juris Doctor (JD) or LLM
from an ABA-accredited law school.Admitted or eligible for admission in
Massachusetts .4+ years of venture capital and emerging company practice
experience.Proficiency with
Excel
and
capitalization tables .Strong organizational skills with
attention to detail .Ability to collaborate effectively in
team settings
and manage competing responsibilities.
Work Environment & Benefits:Competitive salary
ranging from
$310,000 to $365,000 , plus
bonus eligibility .Comprehensive
health, dental, and vision insurance .401(k) matching
contributions.Hybrid work environment : Work from the office approximately
60% of the time
