This multi-dimensional Senior Paralegal position in the Legal Department will provide support for numerous issues, such as corporate governance, operations, transactions, and litigation.

The Senior Paralegal will support the efficient operation of the Legal Department by applying knowledge of legal concepts and processes. Under the direction of the organization's attorneys, the Senior Paralegal conducts and summarizes legal research, summarizes and monitors relevant issues, gathers matter related documents for the attorneys to analyze, supports corporate governance processes, maintains corporate records, and prepares regulatory filings. The Senior Paralegal in this position will draft standard documentation, distribute for review, and obtain necessary approvals and signatures.

This role requires a proven legal professional with experience working in high performing settings. Experience with life insurance, annuities and corporate governance is desired.Key Responsibilities
  • Assist with the identification and summarizing of relevant issues; continually monitor issues and update attorney, as appropriate
  • Review new and proposed legislation and determine applicability
  • Gather matter related documents for the attorney to analyze
  • Manage intake of new matters
  • Consult with outside counsel, as needed
  • Oversee project management, coordination, and collaboration with Legal Department, business clients and board members, as needed
  • Manage data (execute, file, track, and retain) documents
  • Coordinate with various functions within the company to respond to regulatory inquiries, licensing requests, law department referrals, and business transactions
  • Assist with management of litigation, as needed
  • Support corporate governance processes, including general recordkeeping, preparation of board and committee meeting agendas, presentations, resolutions, consents, minutes, periodic filings and required approvals
  • Facilitate annual board and shareholder meetings, assist with board and shareholder resolutions, manage board portal
  • Oversee and maintain corporate records, corporate minute books, certificates, and archives, in accordance with records retention requirements
  • Prepare and follow through on filings with regulatory agencies (including required follow-up issues, requests, etc.)
  • Prepare and file jurisdictional qualifications to do business, Certificates of Authority, and related entity and corporate governance items for all companies
  • Manage biographical affidavits as needed for insurance companies
  • Research regulatory requirements for filings and contacts (written and oral) with the applicable department of insurance regarding requirements and other issues
  • Gather signatures and provide notarization of documents
  • Conduct, summarize, and analyze basic research, including gathering facts, researching and analyzing applicable laws, regulations, and case laws, etc., as necessary
  • Knowledge of required software applications at an intermediate level
  • Provide limited administrative support
Qualifications:
  • Education: Bachelor's Degree in related field; American Bar Association (ABA) approved Paralegal Certificate
  • Insurance-industry experience preferred
  • Knowledge of legal holds and discovery processes
  • Analytical skills and strong attention to detail
  • Ability to identify, prioritize and solve problems effectively regarding basic matters
  • Ability to work in diverse, multi-office, and long distance environments
  • Basic project management skills and experience interacting with law firm/vendors
  • Ability to exercise discretion and maintain confidentiality of sensitive information
  • Basic researching, proofreading, and formatting skills
  • Ability to collaborate and interact with all levels of personnel and build strong relationships with business colleagues
  • High degree of ethics and integrity
  • Strong interpersonal skills, advanced written and oral communication and effective customer service skills
  • Ability to identify inconsistencies in routine work and initiate corrective action within own workflow

Pay Range

$70,000.00 Annually to $86,000.00 Annually
