Summary
The Senior Paralegal will assist with all aspects of corporate governance, contracts, compliance and other legal matters. This position will work directly with the General Counsel and Corporate Counsel, as well as independently, to perform a variety of duties such as drafting minutes and resolutions, maintaining corporate minute books, monitoring corporate compliance, maintaining a portfolio of subsidiary companies, preparing regulatory filings, drafting and reviewing contracts, legal research, preparing legal documents and correspondence, interacting with various internal departments and external agents, and assisting with a variety of legal matters.

This position will be in the Queensbury office 5 days a week to start with the potential of evolving to 1 day a week remote after an initial training and probationary period.
The pay range for this position is $80,000-$100,000 annually and will be determined based on skills and experience.

The Senior Paralegal will assist with all aspects of corporate governance, contracts, compliance and other legal matters. This position will work directly with the General Counsel and Corporate Counsel, as well as independently, to perform a variety of duties such as drafting minutes and resolutions, maintaining corporate minute books, monitoring corporate compliance, maintaining a portfolio of subsidiary companies, preparing regulatory filings, drafting and reviewing contracts, legal research, preparing legal documents and correspondence, interacting with various internal departments and external agents, and assisting with a variety of legal matters.
Essential Duties and Responsibilities:
- Assist General Counsel with all aspects of corporate governance for a number of not-for-profit and for-profit business entities including minutes, resolutions, minute books, documents, etc.
- Maintain a portfolio of companies including corporate compliance and regulatory filings
- Draft and review contracts; edit and negotiate contracts as appropriate or directed
- Review contract amendments, renewals and termination clauses and/or terms
- Assist Legal Manager with contract oversight and organization
- Assist Corporate Counsel with compliance matters including policies
- Assist General Counsel and Corporate Counsel with multiple and varied legal matters
- Research and analyze various legal issues and prepare memoranda of law
- Prepare legal documents and forms for internal and external purposes; including correspondence and communications
- Interact effectively with internal departments and external agents and counsel on a regular basis
- Provide customer service with all interactions for both internal and external encounters
- Meet deadlines and time frames so expectations are met and business objectives are met
- Perform additional duties and special projects as assigned
Qualifications:
- Paralegal Associates degree with validated Paralegal Certification is preferred; Bachelor's Degree in any field a plus
- NYS Notary Public certification is preferred
- 7 - 10 years' relevant experience in law firm, in-house or government agency; healthcare experience is a plus but not required
- Significant corporate governance experience and knowledge of not-for-profit law
- Legal contracting experience with a wide variety of contracts and agreements
- Excellent analytic skills; proficiency in interpreting and reporting on legal matters
- Strong writing skills for all types of documents especially minutes
- Exceptional attention to detail for all work product
- Proficient in MS Office Suite, contract databases and Adobe
