We are looking for a corporate and securities counsel. You will support all aspects of our public company obligations and work with a wide variety of partners, including investor relations, accounting, stock administration, treasury, compliance, and policy teams. This is a great opportunity to work on a variety of cutting-edge legal issues (including cryptocurrencies and digital assets). Work collaboratively to prioritize our goals and manage the legal aspects of being a public company.Draft, review, and file SEC filings, including 10-Ks, 10-Qs, 8-Ks, S-8s, Form SDs and Section 16 filings.Drive Block’s proxy statement process and annual stockholder meeting, including reviewing and updating the proxy and coordinating with the NYSE, DTC and other partners.Take the lead on bringing your securities expertise to a variety of cryptocurrency and digital asset-related projects at Block.Work on Block’s quarterly earnings and shareholder letter.Help with capital markets transactions.Collaborate with Block’s finance, accounting, investor relations, and communications teams on external disclosures, such as earnings releases, press releases, whitepapers and SEC filings.Manage and administer certain governance policies, including Block's Insider Trading Policy and 10b5-1 plans.Ensure compliance with SEC and NYSE rules and regulations.Help with special corporate projects, including helping with strategic transactions and legal trainings.Work with our internal business teams and with external advisors and experts.You Have
7+ years of relevant professional experience practicing law.In-depth substantive expertise of the securities laws and the 1933 and 1934 Acts.Experience working on a team, helping others achieve corporate goals, leading and working with partners, and operating in a fast-paced, flexible culture.Practical and proactive approaches to problem-solving.Willingness and ability to take on diverse tasks, both large and small, and to learn new areas outside of your immediate expertise.J.D. degree and membership in at least one state bar.We’re working to build a more inclusive economy where our customers have equal access to opportunity, and we strive to live by these same values in building our workplace.
