We are seeking an experienced
Corporate Paralegal
to join a leading law firm in Denver, CO. This position will provide support to the firm's attorneys in handling sophisticated corporate transactions, with a particular emphasis on mergers and acquisitions (M&A). The ideal candidate will be detail-oriented, proactive, and capable of managing multiple tasks in a fast-paced environment.Key Responsibilities :Assist attorneys with all aspects of corporate transactions, including M&A, venture capital, private equity, and corporate governance.Draft, review, and organize transaction documents, including agreements, corporate resolutions, and other legal documentation.Manage and coordinate due diligence processes for corporate transactions, including organizing and reviewing data rooms.Prepare and file Form ID and D with the SEC.Perform UCC searches.Assist with the formation, qualification and dissolution of corporate entities.Maintain and update corporate minute books, stock ledgers, and related documentation.Conduct legal research and assist in the preparation of memoranda, reports, and presentations.Qualifications :Minimum of 3 years of paralegal experience in corporate transactions, with substantial M&A experience.Strong knowledge of corporate governance, mergers and acquisitions, and general corporate law.Experience with data rooms, legal research tools, and document management software (NetDocs).Strong organizational skills with the ability to manage multiple projects simultaneously.Trademark experience is a plus but not required.Must CURRENTLY live in the Denver metropolitan area.
