The role of the Corporate Counsel/Legal Counsel is established to support Janes business on various legal matters including drafting, negotiating and reviewing a variety of legal contracts and arrangements. The role also requires proactively managing existing and new Government-Wide Acquisition Contracts (e.g. GSA Schedules, Fedlink etc.), agency/client contracts (including FAR's-DFAR's, blanket agreements, fixed price contracts and task orders) in accordance with corporate goals and objectives. The Corporate Counsel/Legal Counsel shall be responsible for working and collaborating with the General Counsel and rest of the legal team to support and advise internal stakeholders on a variety of all legal matters within a close-knit in-house legal and compliance function.Role will be based in the Janes offices in Arlington, VA, and will directly report into the General Counsel (based in the UK) and will be an integral part of the Janes Global Legal and Compliance Team. The role will involve providing day-to-day assistance and support to the General Counsel to operate with maximum efficiency when providing legal and compliance-related support to the Global Janes colleagues. There will also be an emphasis on assisting with legal & regulatory compliance and corporate governance matters.This is an exciting opportunity for the right individual to work in a vibrant Legal and Compliance function supporting a unique business that works with global customers that are Government agencies and defence industry.How you will contribute at Janes
Draft, review, interpret, advise and negotiate on a variety of legal contractual arrangements with global customers including US/Canadian/South American government customers, commercial companies in the Americas, suppliers etc. as per the Janes Legal playbook/precedence and acceptable standards and policies.Manage and maintain compliance with Fedlink, GSA and other government contracting schedules and portals.Strong ability to read, interpret and evaluate legal terms and conditions, assess risks to Janes and ability to negotiate and communicate findings to sales management that is aligned with wider legal team approach.Ensure the organization’s internal legal contracts documents/repository are well maintained.Provide advice and guidance to the different teams relating to contract generation and review.Assist General Counsel in implementing and managing internal legal processes and procedures.Provide support and advice on new potential business opportunities being mindful of legal aspects including intellectual property, data privacy etc.Supporting compliance screening processes and ensuring company complies with its regulatory requirements and internal policies including due diligence screenings, general compliance investigations etc.Monitor and manage internal processes to prevent or handle appropriately any actual or likely violations of legal guidelines and internal policies.Evaluate the efficiency of controls, monitor and improve compliance processes and policies continuously.Willingness to travel, if required.Individual with analytical reasoning, problem-solving ability and logical reasoning.Minimum Requirements
US qualified attorney or an experienced contracts manager with ability to demonstrate solid legal interpretation and drafting skills.Previous at least 2 years’ experience working with federal/government contracts (SAM.gov) and regulatory compliance experience required.Willingness to work as a part of the global legal function to ensure legal support consistency.Preferable experience working in a fast-paced data licensing business or technology business in one or more of key areas of compliance, regulatory, federal contracting and good understanding of Intellectual Property and data privacy.Comfortable working as part of a multidimensional Legal team and a team player.Ability to exemplify strong attention to detail and ability to come up with legal improvement processes and policies.Previous experience working within Legal and compliance team is strongly preferred.Excellent written and oral communication skills, ability to write contracts, business correspondence with senior management colleagues, and procedures with conformance to the prescribed style and format.Detail oriented – attention to detail is crucial in this role.Capable of professionally managing confidential information.Hybrid working with at least 2-3 days based in the office, located in Rosslyn, Virginia.Preferred qualifications:
JD/ Bachelor’s degree in law, management, contracting or other related field.Certified Commercial Contracts Manager (CCCM), Certified Federal Contracts Manager (CFCM) or Certified Professional Contracts Manager (CPCM) credentials are preferred.2 to 5 years’ Federal contract management experience.Why work for us
