As the Senior Attorney, you will be responsible for providing comprehensive legal support to our organization, ensuring compliance with corporate laws and regulations, managing legal risks, and advising on a wide range of corporate matters. This role involves working closely with internal stakeholders, including senior management, to support the company’s strategic objectives and reports directly to the US General Counsel.MAIN RESPONSIBILITIES AND DUTIESAdvise on and ensure compliance with corporate governance practices.Draft, review, and maintain corporate records, including board resolutions, bylaws, and minutes.Provide legal support for corporate governance matters, including annual meetings, shareholder relations, and regulatory filings.Review and educate internal stakeholders on regulatory developments and engage in advocacy and industry discussions.Stay informed about changes in laws, regulations, and industry guidelines related to JTC’s US service offerings.Draft, review, and negotiate Master Services and Escrow Agreements and related documents.Draft, review, and negotiate a variety of contracts, including vendor agreements, service contracts, confidentiality agreements, and licensing agreements.Manage and oversee the contract lifecycle process to ensure compliance and mitigate risks.Monitor and advise on legal developments affecting the company, including changes in corporate, securities, and employment laws.Assist in ongoing legal aspects of providing fund administration services, including review of contractual provisions, preparing amendments, and reviewing offering materials, negotiating account documents and general transactional matters.Ensure compliance with applicable laws and regulations, including securities filings and other corporate disclosures.Identify and assess potential legal risks and provide strategic advice to mitigate such risks.Collaborate with internal teams to develop and implement risk management strategies and policies.Assist in managing litigation matters, including coordinating with external counsel.Provide day-to-day legal advice to the company’s management and business units.Support the legal department in developing and implementing company policies and procedures.Conduct legal research and provide updates on relevant legal issues.Collaborate with Global Legal and HR departments as needed.ESSENTIAL REQUIREMENTSEducation: Juris Doctor (JD) degree from an accredited law school.Licensed to practice in the State of California or licensed in another state and qualified as registered in-house counsel in the State of California and remain in good standing.Minimum of 7 years of experience in corporate law, preferably with a focus on corporate governance, contracts, and securities law.Prior experience in a corporate legal department or a top-tier law firm is highly preferred.Top-notch analytical, communication, drafting, negotiating and leadership skills.Ability to manage multiple projects simultaneously and work under tight deadlines.High level of integrity and professional ethics.Familiarity with international corporate law and cross-border transactions.Prior experience in-house is preferred, but not required.Transactional experience with funds, securities offerings or real estate is a plus.
