Corporate/M&A/Securities/Finance Transactional Attorney
We are seeking a highly skilled and seasoned Corporate/M&A/Securities/Finance Transactional Attorney to join our law firm based in Hackensack, New Jersey. The ideal candidate will bring a wealth of expertise with at least 6 years of experience in managing complex transactions in corporate law, mergers and acquisitions, securities, and finance. This role encompasses a broad range of responsibilities, requiring meticulous attention to detail, the capacity to handle multiple high-stake projects simultaneously, and a commitment to providing excellent legal services to our diverse clientele.

Essential Duties and Responsibilities:
Lead and negotiate complex corporate transactions, including mergers, acquisitions, and restructurings.
Advise clients on matters related to securities offerings, regulatory compliance, and corporate governance.
Prepare and review legal documents such as merger agreements, stock purchase agreements, and financial contracts.
Work directly with clients to understand their legal and business objectives and ensure alignment with legal strategies.
Collaborate with other attorneys and teams to effectively manage cases and provide top-tier legal services.
Maintain up-to-date knowledge of laws and regulations pertinent to corporate finance, securities, and M&A activities.
Represent clients in negotiations and before regulatory bodies when necessary.
Develop strategies to protect clients’ interests while ensuring compliance with all statutory requirements.
Minimum Position Qualifications:
Degree from an accredited law school and admission to the bar in relevant jurisdictions.
At least 6 years of experience in corporate law, specifically in M&A, securities, and finance transactions.
Proven track record of managing large, complex transactions and multi-disciplinary projects.
Strong academic credentials and demonstrated commitment to continuing legal education.
Excellent oral and written communication skills, with the ability to communicate complex legal concepts clearly and succinctly.
Preferred Qualifications:
Experience working in a large law firm or corporate legal department.
Specialized knowledge in additional areas such as tax law, international business law, or corporate restructuring.
Professional certification or continuing legal education in securities law, financial regulation, or a related field.
Skills:

Strong negotiation and conflict resolution skills.
Ability to handle high-pressure situations and tight deadlines with professionalism and composure.
